Public-company filings in United States are supervised by Securities and Exchange Commission (SEC). Reporting follows US GAAP (IFRS permitted for foreign private issuers). Filings are most commonly published in English. Major issuers are listed on S&P 500, Dow Jones Industrial Average and Nasdaq 100. Calendar year predominant; non-calendar fiscal years common.

US disclosure - SEC, EDGAR, and the world's deepest reporting archive

US listed-issuer disclosure is regulated by the Securities and Exchange Commission (SEC) under the Securities Exchange Act of 1934 and its successor rules. All periodic and current filings are submitted through EDGAR (Electronic Data Gathering, Analysis, and Retrieval), the SEC's public filing system and the most comprehensive regulatory disclosure archive in the world. Domestic issuers report under US GAAP; foreign private issuers may use IFRS as issued by the IASB without reconciliation to US GAAP, filing on foreign-private-issuer forms rather than domestic forms.

The core domestic form set under Regulation S-K and S-X is well-defined: the 10-K (annual report - audited financials, risk factors, MD&A, governance) is due 60–90 days after fiscal-year end depending on accelerated-filer status; the 10-Q (quarterly report - unaudited interim financials and MD&A) is due 40–45 days after each of the first three fiscal quarters; the 8-K (current report) delivers material-event disclosure within four business days of triggering events including earnings releases, M&A announcements, executive changes, and restatements. Proxy statements (DEF 14A) disclose executive compensation, board composition, and shareholder-vote items. Insider transactions are reported on Form 4 within two business days. Institutional investment managers with over $100 million in 13(f) securities file quarterly Form 13F holdings disclosures. Foreign private issuers use 20-F (annual) and 6-K (semi-annual and ad-hoc). Fiscal year-ends are highly variable across the US listed universe - while December 31 dominates, September, June, March, and January year-ends are common in technology, retail, and financial services, spreading annual-report flow across the full calendar. Filing language is English; foreign private issuers filing 20-F may submit IFRS financials in English without US GAAP reconciliation. Inline XBRL is mandatory for financial-statement tagging in 10-K and 10-Q filings, with EDGAR's viewer exposing machine-readable line-items alongside the HTML-rendered document.
