Variazione del Calendario degli eventi societari

Torino (TO), 24 giugno 2026 - OSAI Automation System S.p.A. S.B. (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori (la "Società" o "Osai"), rende noto che, a parziale variazione di quanto indicato nel calendario degli eventi societari diffuso in data 29 maggio 2026, la data della riunione consiliare per l'approvazione del progetto di bilancio della Società ed il bilancio consolidato del Gruppo relativo all'esercizio al 31 dicembre 2025 è stata posticipata a data da definirsi.

Tale rinvio si rende opportuno al fine di attendere l'avveramento della condizione sospensiva prevista nell'ambito della proposta di accordo di ristrutturazione formulata dalla Società ex art. 56 CCII che renderebbe l'accordo di ristrutturazione definitivamente efficace ed è atteso entro il mese di luglio 2026 (vale a dire l'assenso di SACE ed MCC, in qualità di garanti pubblici di alcuni crediti finanziari, all'operazione di ristrutturazione alla quale le banche garantite hanno già aderito).

La Società provvederà a dare tempestiva comunicazione al mercato delle nuove date di approvazione della relazione finanziaria semestrale consolidata al 30 giugno 2025 e di approvazione del progetto di bilancio della Società e del bilancio consolidato del Gruppo relativi all'esercizio chiuso al 31 dicembre 2025.

Change to the Corporate Events Calendar

Turin, June 24, 2026 – OSAI Automation System S.p.A. SB (Ticker OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, announces that, as a partial amendment to the corporate events calendar published on 29 May 2026, the date of the board meeting to approve the Company's draft financial statements and the Group's consolidated financial statements for the financial year ending 31 December 2025 has been postponed to a date to be confirmed.

This postponement is necessary to allow time for the fulfilment of the condition precedent set out in the proposed restructuring agreement drawn up by the Company pursuant to Article 56 of the CCII, which would render the restructuring agreement definitively effective and is expected by July 2026 (namely, the consent of SACE and MCC, in their capacity as public guarantors of certain financial claims, to the restructuring operation to which the guaranteed banks have already acceded).

The Company will promptly notify the market of the new dates for the approval of the consolidated half-yearly financial report as at 30 June 2025 and for the approval of the Company's draft financial statements and the Group's consolidated financial statements for the financial year ended 31 December 2025.
