NOTICE TO THE SHAREHOLDERS OF TWENTY SEVENTH ANNUAL GENERAL MEETING OF THE COMPANY TO BE HELD THROUGH VIDEO CONFERENCING/ OTHER AUDIO VISUAL MEANS

"Notice is hereby given that the Twenty Seventh Annual General Meeting ("AGM") of R Systems International Limited ("RSIL" "Company") will be held on May 19, 2021 at 10:00 A.M. through Video Conferencing ("VC")/ Other Audio Visual Me ("OAVM") to transact the business as set out in the Notice of the AGM which is being circulated for convening the AGM.

In Compliance with the General Circular Nos. 14/2020, 17/2020, 20/2020 and 02/2021 dated April 08, April 13, May 05, 2020 and January 13, 2021, respectively (Collectively referred as "MCA Circulars"), the Companies Act, 2013 and rules made thereunder ("Act") and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Obligations"), the 27^th AGM of the Company will be held through VC/OAVM in view of the continuing COVID-19 pandemic.

The Annual Report including the financial statements for the financial year ended December 31, 2020 along with Notice of the 27^th AGM will be sent only to those members, whose e-mail addresses are registered with the Company/ Registrar and Share Transfer Agent or with the respective Depositary Participants in accordance with the MCA Circulars and SEBI Circular dated May 12, 2020 read with SEBI Circular dated January 15, 2021. Members may note that the Notice of the AGM and Annual Report 2020 will also be available on the Company's Website at https://www.rsystems.com/investors-info/annual-reports/, websites of the stock exchanges i.e. National Stock Exchange of India Limited and BSE Limited at www.nseindia.com and www.bseindia.com, respectively. The instructions for joining the AGM and the manner of participation in the remote electronic voting or casting vote through e-voting system during the AGM will be provided in the notice of 27^th AGM. Members participating through VC/OAVM shall be counted for reckoning the quorum under Section 103 of the Act.

Pursuant to the IEPF Rules, the unclaimed dividend for the financial year 2013-14 will become due for transfer in favour of the IEPF Authority on July 31, 2021 and accordingly, the shares are to be transferred to the IEPF Authority within 30 days i.e. by August 29.2021.

Shareholders may kindly note that both the unclaimed dividend and corresponding shares transferred to IEPF Authority including all benefits accruing on such shares, if any, can be claimed back by them from IEPF Authority after following the procedure prescribed by the IEPF Rules

The concerned shareholders, holding shares in physical form and whose shares are liable to be transferred to IEPF Authority, may note that the Company would be issuing duplicate share certificate(s) in lieu of the original share certificate(s) held by them for the purpose of transfer of shares to IEPF Authority as per the IEPF Rules and upon such issue, the Company shall inform the depository by way of corporate action to convert the duplicate share certificate(s) into demat form and transfer in favour of IEPF Authority. The original share certificate(s) which stand registered in their name will stand automatically cancelled and be deemed non-negotiable. Concerned shareholders holding shares in demat form may note that the Company shall inform the depository by way of corporate action for transfer of shares in favour of IEPF Authority.

The shareholders may further note that the details uploaded by the Company on its website should be regarded and shall be deemed adequate notice in respect of issue of duplicate share certificate(s) by the Company for the purpose of transfer of shares to IEPF Authority pursuant to the IEPF Rules.

In case the Company does not receive any communication from the concerned shareholders by July 30, 2021, the Company shall with a view to adhering with the requirements of the IEPF Rules, transfer the shares to IEPF Authority in accordance with the IEPF Rules. Please note that no claim shall lie against the Company in respect of unclaimed dividend and shares transferred to IEPF Authority pursuant to the IEPF Rules.

कंपनी मुख आईटी के इन्फोसिस सह-संस्थापक एवं गैर-कार्यकारी चेयरमैन नंदन नीलेकणी ने आज एक वर्चुअल कार्यक्रम में कहा किकोविड–19 टीकाकरण के लिए भारत का डिजिटल बुनियादी ढांचा वास्तव में उल्लेखनीय है।

माइक्रोसॉफ्ट इंडियाके अध्यक्ष अनंत माहेश्वरी से बातचीत करते हुए नीलेकणी ने वैश्विक महामारी के बीच प्रौद्योगिकी की भमिका के बारे में चर्चा को। उन्होंने इस मुद्दे पर भी चर्चा की कि डिजिटल कौशल अब पहले के मुकाबले कहीं अधिक महत्त्वपूर्ण कैसे हो गया है और मौजदा टीकाकरण अभियान में तेजी लाने के लिए प्रौद्योगिकी का इस्तेमाल किस प्रकार किया जा सकता है। यह कार्यक्रम माडकोसॉफ्ट द्वारा आयोजित उद्योग विशेषज्ञों के साथ वार्ता शंखला 'एक्सपर्ट स्पीक' का पहला संस्करण था। नीलेकणी ने कहा, ' हम दुनिया

माहेश्वरी ने कहा कि डिजिटल स्किलिंग देश में मौजूदा डिजिटल विभाजन को पाटने की दिशा में उठाया गया एक कदम है। उन्होंने कहा कि इसके तहत माइक्रोसॉफ्ट 249 देशों में 3 करोड़ से अधिक लोगों को डिजिटल कौशल तक पहुंचने में की मदद की है जिनमें से करीब 30 लाख लोग भारत में हैं। यह पिछले जून में 2.5 करोड़ के शुरुआती लक्ष्य के अतिरिक्त है। माइक्रोसॉफ्ट ने 2021 में दुनिया भर में 2,25,000 कंपनियों को कौशल आधारित नियुक्ति करने में मदद करने को अपनी प्रतिबद्धता

नेस्ले इंडिया का मुनाफा 14.6 फीसदी बढ़ा

नेस्ले इंडिया का शुद्ध लाभ जनवरी-मार्च तिमाही में 14.6 फीसदी बढ़ा, जिसे दो अंकों मे देसी बिक्री में हुई बढ़ोतरी और कच्चे माल की लागत में कम बढोतरी का फायदा मिला। फर्म का शुद्ध लाभ मार्च तिमाही में पिछले साल को समान अवधि के 525 करोड़ रुपये के मुकाबले 602 करोड़ रुपये पर पहुंच गया।

इस अवधि में कंपनी को शुद्ध बिक्री सालाना आधार पर बढ़कर 3,600 करोड़ रुपये पर पहुंच गई, जो पिछले साल 2,306 करोड़ रुपये रही थी। कुल राजस्व में 94 फीसदी का योगदान करने वाली देसी बिक्री 10.2 फीसदी बढकर 3,442 करोड रुपये पर पहंच गई जबकि निर्यात 13 फीसदी घटी, जिसने उसके राजस्व को रफ्तार को एक अंक में ला दिया।

कंपनी के मुताबिक, तिमाही के दौरान बिक्री में व्यापक आधार पर बढत दर्ज हुई, जिसमें वॉल्यूम आदि का योगदान रहा। नेस्ले इंडिया के चेयरमैन व प्रबंध निदेशक सुरेश नारायणन ने कहा, प्रमुख उत्पादों मसलन मैगी नूडल्स, किटकैट, नेस्कैफे क्लासिक, मैगी साउसेज, मिल्कमेड, मैगी मसाला ए मैजिक आदि का प्रदर्शन मजबत रहा और इसने दो अंकों में बढत दर्ज की क्योंकि देश में उपभोग बढ़ा। घर से बाहर वाले चैनल की तरफ से मांग और सुधरी, लेकिन इस पर कोविड महामारी का असर जारी है।

इसके अलावा मौजूदा महामारी से उसको ऑनलाइन बिक्री मजबूत हुई है। तिमाही में ई-कॉमर्स चैनल के जरिये बिक्री सालाना आधार पर 66 फीसदी बढी और उसने देसी बिक्री में अप्रत्याशित तौर पर 3.8 फीसदी का योगदान किया।

नारायणन ने कहा, प्रमुख कच्चे माल की बढती लागत हालांकि संभावित चुनौती के तौर पर उभरी। उन्होंने कहा, नेस्ले इंडिया फैमिली हालांकि महामारी के दौरान परिचालन में हो रहे उतारचढाव के साथ रहना सीख गई है, लेकिन कच्चे माल को कोमतों में हई हालिया बढोतरी चनौती पेश कर रही है. जिस पर विचार करेंगे लेकिन हम अपने कारोबारी मॉडल को बनाए रखेंगे।

जनवरी-मार्च के दौरान कुल बिक्री में कच्चे माल की लागत को हिस्सेदारी पिछले साल की समानतिमाही के मकाबले घटी। नेस्ले ने पैकेजिंग मैंटीरियल व जिंसों की बढती लागत को लेकर अवरोध का सामना किया। विश्लेषकों ने कहा, चूंकि कच्चे माल का एक हिस्सा अग्रिम खरीदा जाता है, लेकिन कच्चे माल की कम लागत का फायदा अभी शायद प्रतिबिंबित नहीं होगा और इसका बडा असर आगामी तिमाहियों के मार्जिन पर दिख सकता है।

दो कंपनियों के प्रबंधन ने संकेत दिया है कि मार्च तिमाही दो कंपनियों के लिए मजबूत रही है। कोका–कोला ने भारत और चीन को मदद से अपने स्पार्कलिंग सॉफ्ट डिंक पोर्टफोलियो में 4 प्रतिशत की वृद्धि दर्ज की है। वहीं
