Sub.: Allotment of equity shares pursuant to exercise of options under Kajaria Employee Stock Option Scheme 2015 ('ESOP Scheme 2015')
Pursuant to the provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, we wish to inform you that the Nomination and Remuneration Committee of the Company has, through Circular Resolution passed on June 27, 2026, allotted 20,760 equity shares of face value of Re. 1 each for cash at Rs. 980 each, to the grantee who had exercised the options granted as a part of Tranche(s) 2 & 3 under ESOP Scheme 2015 of the Company. The said equity shares shall rank pari-passu with the existing equity shares of the Company in all respects.
Consequent to the aforesaid allotment of equity shares, the paid-up share capital of the Company would stand increased as per details given below:
