SHIFTING OF REGISTERED OFFICE OF THE COMPANY WITHIN LOCAL LIMITS OF SAME CITY
Mr. Prakash Agarwal, Managing Director informed the Board with the continuance of growth of operations of the Company over last few years, it has become necessary to have more office space than existing area occupied by the Company. Mr. Prakash Agarwal thereafter informed the Board that it is intention of the Company to shift the existing Registered of the Company from Trinity Plaza (3rd Floor) 84/1A, Topsia Road (South), Kolkata-700046 to Godrej Genesis Building, Unit No. 1404, 14th Floor, Plot, XI-9,10,13 &14, Block EP&GP, Sector V, Salt Lake City, Bidhan Nagar, Kolkata 700091, West Bengal i.e. within the local limits of Kolkata City for the sake of more space which would facilitate to administer operations of the Company with more efficiency. Mr. Prakash further proposed the Board to consider proposal of the company in view of its genuine requírements.
After Consideration, it was-
"RESOLVED THAT pursuant to the provisions of section 12 of the Companies Act, 2013 and other provisions applicable, if any, consent of the board of directors of the Company be and is hereby accorded to shift the registered office of the Company from Trinity Plaza (3rd Floor) 84/1A Topsia Road (South) Kolkata-700046 to Godrej Genesis Building, Unit No. 1404, 14th Floor, ,Plot, XI-9,10,13 &14, Block EP&GP, Sector V, Salt Lake City, Bidhan Nagar, Kolkata 700091, West Bengal, i.e. within the local limits of Kolkata City with immediate effect"

THIS AGREEMENT IS EXECUTED at Kolkata on this the 01st day of July, 2025 by and between: -
HINDUSTHAN UDYOG LIMITED, a Company having its registered office at Trinity Plaza, 3rd Floor, 84/1A, Topsia Road (South), Kolkata - 700046, hereinafter referred as the "LICENSOR" (which expression shall unless repugnant to the context or meaning thereof, be deemed to mean and include its successors-in-interest and assigns) of the FIRST PART.

WPIL LIMITED, a limited Company having its registered office at Trinity Plaza, 3rd Floor, 84/1A, Topsia Road (South), Kolkata – 700046, hereinafter called "the "LICENSEE" (which expression shall unless repugnant to the context or meaning thereof, be deemed to mean and include its successorsin-interest and assigns) of the OTHER PART.
WHEREAS the LICENSOR has agreed to provide and the LICENSEE has agreed to take the Demised Premises on leave and license along with fittings and fixtures available thereon and are necessary for enjoyment of Demised Premises for Office purpose. the

Expry Date 20 MPy 202The ICENSOR hereby declares that the LICENSOR is the lawful owner of the Demised Premises and undertakes to be competent to grant license of the demised premises to the LICENSEE for office TARY Kpurposes.

- The LICENSEE agreed and undertakes to pay MONTHLY LICENSE FEE reserved for the said Demised Premises for the entire tenure of license at the rate of Rs.13,65,950/- (Rupees Thirteen Lacs Sixty Five Thousand Nine Hundred and Fifty Only) for the license hereby granted in favour of the LICENSEE and the same is renewable after expiry of the current tenure on mutual understanding.

- During the tenure of license a sum of Rs.13,65,950/- (Rupees Thirteen Lacs Sixty Five Thousand Nine Hundred and Fifty Only) shall be payable by the LICENSEE to the LICENSOR. The LICENSOR should receive the monthly License Fees through cheque/ RTGS Transfer on or before 10th day of commenced current month. TDS shall be applicable as per the prevailing rates. Applicable Tax will be paid along with Monthly License Fees in every month as per prevailing rate.

Escalation - The rate of escalation of Monthly License Fee and effect thereof shall be decided mutually by the parties herein after expiry of every 11 months term of the License. However, the parties herein shall be at liberty to implement any enhancement during tenure of the license as may mutually agree by the parties herein in writing.

No Person or vehicle should remain in the premises after working hours without due authorization from the Licensor.

- The LICENSEE has satisfied himself of the conditions and the area handed over to them by the LICENSOR at the time of handling over of the demised premises and after being fully satisfied has signed this agreement.

- The LICENSEE shall be entitled to install its own furniture and fittings; computers and Network, air/water cooler, telephone etc. and all other electrical fittings & appliances and shall make its own arrangements for the same. However the LICENSEE shall not carry out any structural changes/modifications in the demised premises. GH The LICENSEE shall be entitled to remove/dispose off the furniture and fittings, computer, air/water cooler, all other electrical appliances upon vacation of the demised premises. *SUJATA 8. No.
The LICENSEE shall pay the electricity charges to the LICENSOR as per the units consumed meter readings on meter for the particular month w.ef. 1st August, 2024 taking over the possession of the Said ay Premises till the date of expiry / termination of this license period. The LICENSEE will settle the electricity bills on the actual consumption of electricity units shown by the meter. The LICENSEE shall also reimburse the maintenance and service charges at actuals on production of supporting documents.

The Leave and License Agreement can be terminated by the parties herein by giving a prior one month written notice regarding such termination. Upon termination of the License, the LICENSEE shall peacefully handover the vacant possession of the demised premises to the LICENSOR in the same state and condition as it was on the date of grant of license in favour of the LICENSEE.

All minor repairs and operational damages in respect of the demised premises shall be carried out by the LICENSEE at its own cost. However, all the major repairs in respect of the said demised premises e.g. structural damages/Seepage and other problems shall be carried out by the LICENSOR at their own cost in the event of the failure on the part of the LICENSOR to carry out the major repairs as and when required, the LICENSEE upon giving a reasonable notice to the Regd. - All assets, materials, and equipments of the LICENSEE and the LICENSOR available in the demised premises shall be adequately insured by the LICENSEE at its own cost and the LICENSOR shall not be responsible for any material and equipments theft or damaged in any manner whatsoever.

- The LICENSEE will use the demised premises for Office Purposes and to set up its own office.

- That subject to this agreement, LICENSEE shall fully comply with all such conditions, rules, regulations, bye laws and order of all the Central/State Govt., local authorities or any other departments, builders Society etc. applicable to the LICENSEE. The LICENSOR shall not be responsible for non-compliance of any statutory provision GHfer the time being in force and any consequences thereol, and LICENSEE shall keep the LICENSOR indemnified against any such claim, demand or actions caused due to non-performance/compliance on the part of the LICENSEE. - That the License Agreement shall be subject to the jurisdiction of the competent Courts having pecuniary and territorial jurisdiction over the demised premises and the registered offices of the parties herein.
