Subject: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 – Acquisition of balance equity shares in TS Innovations Private Limited and consequent becoming of Wholly Owned Subsidiary
Dear Sir/Madam,
Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Schedule III thereto, and in continuation of the approval accorded by the Board of Directors of the Company on May 16, 2025, we wish to inform that the Company has completed the acquisition of the remaining 2,600 (Two Thousand Six Hundred) equity shares of ₹10/- each constituting 26% of the paid-up share capital of TS Innovations Private Limited (“TSIPL”) from Sitra Infotech Private Limited, an existing promoter group entity, for a total consideration of ₹26,000/-.
Prior to the aforesaid acquisition, the Company was holding 74% of the paid-up share capital of TSIPL, and TSIPL was an existing subsidiary of the Company. Consequent to completion of the aforesaid acquisition on June 13, 2026, the Company’s shareholding in TSIPL has increased from 74% to 100%, and accordingly, TS Innovations Private Limited has become a Wholly Owned Subsidiary of the Company with effect from June 13, 2026.
The acquisition is inter-se amongst promoter group entities and does not result in any change in control or business operations of TSIPL.
The details as required under Regulation 30 of SEBI (LODR) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 are enclosed as Annexure – A.
