Annexure – A

We refer to our letter dated March 25, 2025, wherein we informed you that the Hon’ble National Company Law Tribunal, Mumbai Bench, vide its order dated March 25, 2025, has sanctioned the Scheme of Arrangement between Siemens Limited (“Company” or “Demerged Company”) and Siemens Energy India Limited (“SEIL” or “Resulting Company”) and their respective shareholders and creditors under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“Scheme”).

Accordingly, the Energy Business of the Company as defined in the Scheme has been transferred to and vested in SEIL w.e.f. March 1, 2025.

Pursuant to the effectiveness of the Scheme and with effect from the Appointed Date, i.e., March 1, 2025, all employees of the Company engaged in or in relation to the Energy Business ( as defined in the Scheme ) of the Company shall become employees of the Resulting Company.

Consequently, please note the following:

1. Mr. Guilherme Vieira De Mendonca who was the Head of the Company’s Energy Business has been transferred to SEIL.

2. Mr. Harish Shekar who was the Finance Head of the Company’s Energy Business has been transferred to SEIL.

Further, SEIL has informed us that Mr. Vieira De Mendonca and Mr. Shekar have been appointed as the “Managing Director and Chief Executive Officer” and “Executive Director and Chief Financial Officer”, respectively of SEIL. These appointments are subject to requisite shareholder approvals of SEIL and governmental / regulatory approvals (as applicable) as may be required in this regard.
