NOTICE OF POSTAL BALLOT/E-VOTING

Notice is hereby given that pursuant to the provisions of Sections 108, 110 and other applicable provision, if any, of the Companies Act, 2013 read with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in accordance with the applicable guidelines circulars issued by the Ministry of Corporate Affairs ("MCA Circulars"), Sheela Foam Limited (the "Company") seeking the approval of the Members to re-appoint the Independent Directors of the Company through Postal Ballet (only by e-voting through electronic means) (remote e-voting) as stated in the Postal Ballet Notice "Notice" dated January 22, 2021. The detailed explanatory Statement setting out the material facts concerning the resolutions, forms part of the notice.

The Notice will also be available on the website of the Company at www.sheelalfoam.com on the website of Link Intime India Private Ltd. Company's RTA at www.linkintime.co.in and on the websites of Stock Exchanges where the shares of the Company are listed i.e. BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nssindia.com, respectively.

Members hereby informed that:

1. The despatch of the Notice of the Postal Ballet (E-voting) has been completed on January 25, 2021.
2. As per the MCA Circulars, the Company is sending Postal Ballet Notice (the "Notice") only by email to all its members who have registered their email addresses with the Company or depository (ies) / depository participants. In view of the limited Postal/Courier services and an account of prevailing situation of COVID 19, physical copies of the Notice, Postal Ballet Form and prepaid business reply envelope have not been sent to the members.
3. The cut-off date for the purpose of reckoning the voting rights and sending the notice is Friday, January 22, 2021 (Cut-off Date). The members whose name is recorded in the register of members or in the register of beneficial owner maintained by the depositories as on the cut-off date only shall be entitled to avail the facility of e-voting.
4. The detailed procedure and instruction on the process of e-voting, including the manner in which the members who have not yet registered their e-mail addresses can register their email address and/or cast their vote, are specified in the notice.
5. The remote e-voting shall commence on January 27, 2021 at 09:00 a.m.
6. The remote e-voting shall end on February 25, 2021 at 05:00 p.m.
7. E-voting shall not be allowed beyond February 25, 2021 at 05:00 p.m.
8. The results of the Postal Ballet will be announced by Saturday February 27, 2021 on website of the Company www.sheelalfoam.com and shall also be available on the website of LIIPL on https://instavote.linkintime.co.in. And simultaneously intimated to stock exchanges where the shares of the Company is listed.
9. एतद्द्वारा सूचना दी जाती है कि लंबी (सूचीकरण उत्तराधिक्य एवं प्रकाशन अपेक्षाएं) विनियम, 2019 के साथ गठित कंपनीज अधिनियम, 2019 के अनुच्छेद 106, 110 के अध्यापनों और अन्य लागू प्रावधान, यदि कोई है, के अनुप्राण में तथा कार्यरत कार्य मंत्रालय द्वारा जारी शब्द लागू दिशानिर्देश परिपत्र ("एक्सीए परिपत्र") के अनुरूप शीला फोम लिमिटेड (दि "कंपनी") पोस्टल बैलेट नोटिस ("नोटिस") दिनांक 22 जनवरी, 2021 में यथा उल्लिखित पोस्टल बैलेट के जरिए (केवल इलेक्ट्रॉनिक साधनों के जरिए ई-वोटिंग के) (रिमोट ई-वोटिंग/ स्वतंत्र निवेशकों की पुनर्नियुक्ति के लिए सदस्यों का अनुमोदन प्राप्त करना चाहती है, संकल्पों से संबंधित तथ्यात्मक वापसी के संबंध में विस्तृत व्याख्यात्मक विवरण नोटिस के अंत के तौर पर है.

यह नोटिस कंपनी की वेबसाइट www.sheelafcom.com पर कंपनी के बातचीत लिंक इन्टाइम इंडिया प्राइवेट लिमिटेड की वेबसाइट www.linkintime.co.in पर तथा स्टॉक एक्सचेंजों, जहां कंपनी के शेयर सूचीबद्ध हैं अर्थात बीएसई लिमिटेड और नेशनल स्टॉक एक्सचेंज ऑफ इंडिया लिमिटेड की वेबसाइटों पर क्रमश: www.bseindia.com और www.nseindia.com पर भी उपलब्ध होगा.

सदस्यों को एतद्द्वारा सूचित किया जाता है कि:

1. पोस्टल बैलेट (ई-वोटिंग) का नोटिस प्रेषित करने का कार्य 25 जनवरी, 2021 को पूरा कर लिया गया है.

2. एमसीए परिपत्रों के अनुसार, कंपनी पोस्टल बैलेट नोटिस (दि "नोटिस") केवल ई-मेल से अपने सभी सदस्यों को भेज रही है, जिन्होंने अपने ई-मेल को कंपनी अथवा डिवालिटरी(डिवालिटरीज)/डिवालिटरी पार्टिसिपेंट्स के पास पंजीकृत कराए हैं, सीमित पोस्टल/सुरिपर सेवाओं को देखते हुए और कोविड-19 की वर्तमान स्थिति के कारण, नोटिस के भौतिक प्रतियां, पोस्टल बैलेट फॉर्म और प्रेषित बिजनेस रिजर्व, लिंकएक्स सदस्यों को नहीं भेजा गया है.

3. वोटिंग अधिकारों की गणना और नोटिस भेजने के उद्देश्य के लिए कट-ऑफ विधि सूचनाएं, 22 जनवरी, 2021 (कट-ऑफ विधि) हैं, सेवाएं ये सदस्य हों, जिनके नाम कट-ऑफ विधि को सदस्यों के रजिस्टर अथवा डिवालिटरीज द्वारा अनुरक्षित लाभार्थी स्वामी के रजिस्टर में दर्ज हैं, ई-वोटिंग सूचित का लाभ लेने के हकदार होंगे.

4. ई-वोटिंग की विस्तृत प्रक्रिया और अनुदेश, उस तरीके सहित कि यदि सदस्य जिन्होंने अब तक अपना ई-मेल पता पंजीकृत नहीं कराया है, और/अथवा अपना वोट कैसे दें, नोटिस में विनिर्दिष्ट किए गए हैं.

5. रिमोट ई-वोटिंग 27 जनवरी, 2021 को प्रात: 09.00 बजे आरंभ होगी.

6. रिमोट ई-वोटिंग 25 फरवरी, 2021 को सायं 09.00 बजे समाप्त होगी.

7. 25 फरवरी, 2021 को सायं 09.00 बजे के बाद ई-वोटिंग की अनुमति नहीं दी जाएगी.

8. पोस्टल बैलेट के परिणाम की घोषणा शनिवार 27 फरवरी, 2021 को कंपनी की वेबसाइट www.sheelafcom.com पर की जाएगी और एसआईआईपीएल की वेबसाइट https://instavote.linkintime.co.in पर भी उपलब्ध होगा, साथ ही साथ इसे स्टॉक एक्सचेंजों को सूचित किया जाएगा जहां पर कंपनी के शेयर सूचीबद्ध हैं.
