Notice under section 708AA(2)(f) of the Corporations Act 2001 (Cth) as modified by ASIC Class Order 08/35

This notice is given by Select Harvests Limited ACN 000 721 380 ( Select Harvests ) under section 708AA(2)(f) of the Corporations Act 2001 (Cth) ( Act ) as modified by the Australian Securities and Investments Commission Class Order 08/35 ( CO 08/35 ).

Select Harvests has announced on 23 August 2010 an undocumented accelerated pro-rata renounceable entitlement offer ( Entitlement Offer ) of 2 fully paid Select Harvests ordinary shares ( New Shares ) for every 5 Select Harvests ordinary shares held as at 7.00pm (AEDT) on 26 August 2010 by shareholders with a registered address in Australia and any other jurisdictions in which it is decided to make offers.

The Entitlement Offer comprises an accelerated institutional component and an offer to eligible retail shareholders to participate on the same terms. The Entitlement Offer is renounceable, and entitlements that are not taken up by eligible shareholders, together with the entitlements of ineligible shareholders, will be offered for sale to institutional investors through a bookbuild process.

Select Harvests advises that:

• (a) the New Shares will be offered for issue without disclosure to investors under Part 6D.2 of the Act and without a Prospectus for the New Shares being prepared;

• (b) this notice is being given under section 708AA(2)(f) of the Act as modified by CO 08/35;

• (c) as at the date of this notice, Select Harvests has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to Select Harvests; and

  • (ii) section 674 of the Act;

• (d) as at the date of this notice, there is no excluded information of the type referred to in sections 708AA(8) and 708AA(9) of the Act; and

• (e) the issue of New Shares pursuant to the Entitlement Offer is not expected to have any material effect or consequence on the control of Select Harvests.
