Outcome of the Board Meeting

We request you to refer our letter dated SFL:BM4:084:2021-22 dated 30th August 2021.

The Board of Directors have, at their meeting held today (i.e 3rd September 2021), approved the following proposals:

1. Sixty Fourth Annual General Meeting

The Sixty Fourth Annual General Meeting ("AGM") of the Members of the Company will be held on Thursday, 30th September 2021 at 4.00 p.m through Video Conferencing ("VC") / Other Audio Visual Means ("OAVM").

2. Fixation of Record Date

The Board of Directors have fixed Thursday, 23rd September 2021 as the Record Date for the purpose of payment of dividend and also as cut-off date for the purpose of e-Voting.

3. Appointment of Chief Financial Officer ("CFO")

The Board of Directors have, based on the recommendations of Nomination and Remuneration Committee and Audit Committee, appointed Sri Srinivasan Anand as Chief Financial Officer ("CFO") of the Company with effect from 3rd September 2021. He was earlier the Chief Compliance Officer of the Company.

The brief profile of Sri Srinivasan Anand, CFO is enclosed in Annexure - 1.

4. Appointment of Chief Operating Officer ("COO")

The Board of Directors have, based on the recommendations of Nomination and Remuneration Committee, appointed Sri K S Venkitasubrarnanian as Chief Operating Officer of the Company, with effect from 3rd September 2021.

The brief profile of Sri K S Venkitasubramanian, COO is enclosed in Annexure - 1.

5. Appointment of Chief Compliance Officer ("CCO")

The Board of Directors have, based on the recommendation of Nomination and Remuneration Committee, appointed Sri S Venkatesh, Company Secretary as Chief Compliance Officer of the Company, with effect from 3rd September 2021.

6. Issue of Secured and Unsecured Redeemable Non-Convertible Debentures ("NCDs") and Other Debt Securities on private placement basis for an amount not exceeding 500 crore

The Board of Directors have approved issue of Secured and Unsecured, Redeemable, Non-Convertibie Debentures and Other Debt Securities, in one or more tranches on private placement basis during the period of one year commencing from the date of 64th Annual General Meeting ("AGM") for an amount not exceeding 500 crores. This proposal is subject to the approval of members at the ensuing AGM. The said borrowings is within the overall borrowing limits approved by members under Section 180(1)(c) of the Companies Act 2013.

The Board meeting commenced from 4.30 p.m and concluded at 5.30 p.m.

Brief Profile of Sri Srinivasan Anand

Sri. Srinivasan Anand, aged 67 years, holds a graduate degree in,Commerce from University of Madras. He is a Chartered Accountant, ranked by ICAI, New Delhi in 1978.

He has worked in Ashok Leyland Limited as Internal Auditor and Senior Accountant for 4 years, Financial Controller in Kassem Darwish Fakhroo & Sons Group, Doha — Qatar for 20 years, General Manager (Operations) in our Company for 7 years and again worked in Ashok Leyland Limited as Head of Sales Financing and General Manager -Finance, heading Sales Financing function for 6 years. He was also Chief Audit Officer of ABT Foundation Limited for 7 years.

He was previously the Chief Compliance Officer of our Company from February 2021 to August 2021. He is not related to any of the Directors of the Company.

Brief Profile of Sri K S Venkitasubramanian

Sri. K S Venkitasubramanian, has more than three decades of extensive industry experience in the areas of Banking (Corporate and Retail), Information Technology, Non-Banking Finance Companies, Consulting, Insurance Services and Manufacturing, including over a decade with a Nasdaq listed global consulting firm.

He had also been associated with Citigroup working in various capacities covering Financial and Strategic Cost Management, Business Planning and Strategy, Treasury Management, Investor Relations as well as Legal, Regulatory and Compliance areas.

He holds a Master's degree in Commerce and is a Fellow Member of the Institute of Chartered Accountants of India.

At present, he is the Chief Financial Officer ("CFO") of Ramanandha Adigalar Foundation, Coimbatore.
