Notice under section 708(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Peak Processing Limited (ASX: PKP) (the Company) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act).

On 29 June 2026, the Company issued 168,133,316 fully paid ordinary shares (Shares) comprising:

• 160,133,316 Shares at an issue price of $0.015 per Share on the conversion of loan notes held by professional and sophisticated investors (the Noteholders) under the loan note raising announced on 1 May 2026, in accordance with shareholder approval received at the general meeting held on 25 June 2026 (Resolution 7);
• 4,000,000 Shares at an issue price of $0.017 per Share to a Director of the Company (the Investor) under the placement announced on 2 February 2026, in accordance with shareholder approval received at the general meeting held on 25 June 2026 (Resolution 4); and
• 4,000,000 Shares for nil cash consideration at a deemed issued price of $0.017 per Share to a Related Party (the Related Party) in lieu of cash remuneration for Directors' fees, in accordance with shareholder approval received at the general meeting held on 25 June 2026 (Resolution 6).

In accordance with Sections 708A(5)(e) and 708A(6) of the Act, the following information is provided:

1. the Shares were issued without disclosure to the Noteholders, the Investor and the Related Party under Part 6D.2 of the Act.
2. this notice is given under section 708A(5)(e) of the Act.
3. as at the date of this notice, the Company has complied with:

a) the provisions of Chapter 2M of the Act as they apply to the Company; and
b) sections 674 and 674A of the Act.

1. as at the date of this notice, there is no information that is "excluded information" (within the meaning of sections 708A(7) and 708A(8) of the Act) which is required to be disclosed by the Company under section 708A(6)(e) of the Act.
