• (a) the public filing of the technical report entitled "NI 43-101 Technical Report, North Valley Resources Ltd., Barnum Property” dated August 26, 2020 (" Technical Report ") by North Valley Resources Ltd. (" NVR "); and

• (b) the inclusion of, reference to, use of extracts from or a summary of the Technical Report within the offering memorandum of NVR dated October 19, 2020 (the " OM ").

I hereby confirm that I have read the OM and that I have no reason to believe that there is any misrepresentation contained in the OM which is derived from the Technical Report or of which I am otherwise aware.
