Item 8.01. Other Events.

On December 13, 2012, NewMarket Corporation, a Virginia corporation (the “Company”), issued a press release announcing the commencement by the Company of a proposed private offering of $300 million aggregate principal amount of senior notes due 2022.

A copy of the press release has been filed as Exhibit 99.1 and is incorporated by reference herein.
