On June 26, 2000, NTI Newspaper Technologies Inc., a wholly owned subsidiary of NetDriven Solutions Inc., announced they were permanently laying off all NTI Newspaper Technologies Inc. employees and preparing to commence discussions with creditors of NTI Newspaper Technologies Inc.

ITEM 5 Full Description of Material Change :

On June 26, 2000, NTI Newspaper Technologies Inc., a wholly owned subsidiary of NetDriven Solutions Inc., announced they were permanently laying off all NTI Newspaper Technologies Inc. employees and preparing to commence discussions with creditors of NTI Newspaper Technologies Inc.

The announcement followed the decision of the board of directors of NetDriven Solutions Inc. not to continue funding the operations of its wholly owned subsidiary, NTI Newspaper Technologies Inc.
