Dear Sir/Madam,

a) We refer to our earlier intimations dated April 01, 2026 and May 29, 2026, wherein we had informed that Nanomi B.V., the Netherlands ('Nanomi'), a wholly owned subsidiary of the Company, had entered into definitive agreements to acquire 11,794,497 shares from certain existing shareholders of Multicare Pharmaceuticals Philippines, Inc. ('MPPI'), a subsidiary of Nanomi, subject to certain closing conditions.

We would like to inform you that Nanomi has completed the acquisition of the above-said shares from certain existing shareholders of MPPI on July 01, 2026.

b) In furtherance to our earlier intimation dated March 30, 2026, we wish to inform that MPPI has completed the buy-back of 61,118 shares from two existing shareholders on July 01, 2026. The buy-back process for the balance 30,559 shares is currently in progress.

Post completion of the above-mentioned acquisition and buyback transactions, shareholding of Nanomi in MPPI has increased from 56.28% to 99.89% effective July 01, 2026.
