In terms of Regulation 29 and other applicable provisions, if any, of the Securities and Exchange Board of India (Listing Obligation and Disclosure Requirement) Regulation, 2015, as amended ("Listing Regulation"), we hereby inform you that the Meeting of the Board of Directors of M/s. Knowledge Marine & Engineering Works Limited (the "Company") is scheduled to be held on Friday, June 26, 2026 at 04:00 PM, inter alia, to consider and approve following:

(a) Raising of funds by issuance of equity shares and / or other securities convertible into equity shares such as Warrants, Preference Shares or otherwise either singly or in combination thereof (collectively referred to as "Securities"), through a private placement or preferential allotment, qualified institutional placement, and / or through any other method or combination thereof as permissible in accordance with the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 and other relevant provisions of applicable law, subject to approval from the shareholders of the Company and the receipt of statutory /regulatory and other approvals, as may be required.

(b) Notice seeking approval of the members via Extra-Ordinary General meeting in accordance with the procedure laid down under the provisions of the Companies Act, 2013 and Listing Regulations, in respect of the aforesaid fund-raising proposal, if approved by the Board of Directors.
