A notice of the Annual General Meeting of JD Logistics, Inc. to be held at 11:00 a.m. on Friday, June 20, 2025 at Building A, No. 18 Kechuang 11 Street, Yizhuang Economic and Technological Development Zone, Daxing District, Beijing, the PRC is set out on pages 17 to 21 of this circular.

A proxy form for use at the Annual General Meeting is also enclosed. Such proxy form is also published on the websites of The Stock Exchange of Hong Kong Limited at https://www.hkexnews.hk and the Company at https://ir.jdl.com. Whether or not you intend to attend the Annual General Meeting, you are requested to complete the proxy form in accordance with the instructions printed thereon and return it to the Company's Hong Kong share registrar, Computershare Hong Kong Investor Services Limited, at 17M Floor, Hopewell Centre, 183 Queen's Road East, Wan Chai, Hong Kong as soon as possible but in any event not less than 48 hours before the time appointed for holding the Annual General Meeting (i.e. at or before 11:00 a.m. on Wednesday, June 18, 2025) or any adjournment thereof. For the avoidance of doubt and for the purposes of the Listing Rules, holders of treasury Shares (if any) shall abstain from voting at the Company's general meetings.

In this circular, the following expressions shall have the following meanings unless the context indicates otherwise:

“ADSs” American Depositary Shares (each representing two Class A ordinary shares) of JD.com

“Annual General Meeting” or “AGM” the annual general meeting of the Company to be held at 11:00 a.m. on Friday, June 20, 2025, Building A, No. 18 Kechuang 11 Street, Yizhuang Economic and Technological Development Zone, Daxing District, Beijing, the PRC or any adjournment thereof, notice of which is set out in Appendix III to this circular

“Articles of Association” the articles of association of the Company, as amended and restated, supplemented or modified from time to time

“Audit Committee” the audit committee of the Company

“JD.com” JD.com, Inc., one of the controlling shareholders of the Company, a company incorporated in the British Virgin Islands on November 6, 2006 and subsequently redomiciled to the Cayman Islands on January 16, 2014 as an exempted company registered by way of continuation under the laws of the Cayman Islands and the shares of which are listed on the Main Board of the Stock Exchange (stock codes: 9618 (HKD counter) and 89618 (RMB counter)) under Chapter 19C of the Listing Rules and the ADSs of which are listed on Nasdaq under the symbol “JD” and, where the context requires, includes its consolidated subsidiaries and consolidated entities from time to time

LETTER FROM THE BOARD

1. INTRODUCTION

The purpose of this circular is to provide the Shareholders with details of (i) the proposed granting of general mandates to the Directors to issue and repurchase Shares; (ii) the proposed re-election of retiring Directors; and (iii) giving the Shareholders notice of the Annual General Meeting. Such proposals will be dealt with at the Annual General Meeting.

2. PROPOSED GRANTING OF GENERAL MANDATES TO ISSUE AND REPURCHASE SHARES

On June 21, 2024, ordinary resolutions were passed to grant the general mandates to the Directors to issue and repurchase Shares. Such general mandates will expire at the conclusion of the Annual General Meeting. At the Annual General Meeting, separate ordinary resolutions will be proposed to renew the general mandates given to the Directors (i) to allot, issue and otherwise deal with Shares (including any sale or transfer of treasury Shares) not exceeding in aggregate 20% of the total number of Shares in issue (excluding any treasury Shares) at the date of passing of such resolution (the "Issue Mandate"); (ii) to repurchase Shares not exceeding 10% of the total number of Shares in issue (excluding any treasury Shares) at the date of passing of such resolution (the "Repurchase Mandate"); and (iii) to extend the Issue Mandate by adding to the Issue Mandate those Shares repurchased by the Company under the Repurchase Mandate provided that such extended amount shall not exceed 10% of the total number of Shares in issue (excluding any treasury Shares) at the date of passing of the resolution for the grant of the Issue Mandate (the "Extension Mandate").

Based on 6,643,881,772 Shares in issue as at the Latest Practicable Date and assuming that there is no change to the number of Shares in issue prior to the Annual General Meeting, subject to the passing of the relevant ordinary resolutions to approve the Issue Mandate at the Annual General Meeting, the Directors will be authorised to allot, issue and deal (including any sale or transfer of treasury Shares) with up to a limit of 1,328,776,354 Shares under the Issue Mandate and to repurchase up to a limit of 664,388,177 Shares under the Repurchase Mandate.

The Directors propose to seek the approval of the Shareholders for the granting to the Directors of the Issue Mandate, the Repurchase Mandate and the Extension Mandate (together, the "General Mandates") at the Annual General Meeting. With reference to these resolutions, the Directors currently have no present intention to issue any new Shares (including the sale or transfer of treasury Shares) or to repurchase any Shares pursuant to the relevant mandates.

Subject to the approval of Shareholders, the Company may only use the General Mandates for the sale or transfer of treasury Shares after the amendments to the Listing Rules relating to treasury Shares come into effect.

If approved by the Shareholders at the Annual General Meeting, the General Mandates will continue to be in force until the earlier of (i) the conclusion of the next annual general meeting of the Company following the passing of the resolutions referred to herein; or (ii) the revocation or variation of the General Mandates by ordinary resolution(s) of the Shareholders in general meeting.

The explanatory statement required by the Listing Rules to be sent to all Shareholders in connection with the proposed Repurchase Mandate is set out in the Appendix I to this circular which contains all the information reasonably necessary to enable the Shareholders to make an informed decision on whether to vote for or against the relevant resolution.

3. PROPOSED RE-ELECTION OF RETIRING DIRECTORS

In accordance with Article 16.2 of the Articles of Association, the Board shall have power from time to time and at any time to appoint any person as a Director either to fill a casual vacancy or as an addition to the Board. Any Director so appointed shall hold office only until the first annual general meeting of the Company after his/her appointment and shall then be eligible for re-election at that meeting. With effect from June 28, 2024, Dr. Lin Ye (葉林) (“Dr. Ye”) has been appointed as an independent non-executive Director. With effect from February 14, 2025, Ms. Christina Gaw (吳燕安) (“Ms. Gaw”) has been appointed as an independent non-executive Director. Please refer to the announcements of the Company dated June 28, 2024 and February 14, 2025. Accordingly, Dr. Ye and Ms. Gaw will retire at the Annual General Meeting and, being eligible, will offer themselves for re-election as independent non-executive Directors at the Annual General Meeting.

In accordance with Article 16.19 of the Articles of Association, one-third of the Directors for the time being (or if their number is not three or a multiple of three, then the number nearest to but not less than one-third) will retire from office by rotation and will be eligible for re-election and re-appointment at every annual general meeting, provided that every Director shall be subject to retirement by rotation at least once every three years. Any Director required to stand for re-election pursuant to Article 16.2 shall not be taken into account in determining the number of Directors and which Directors are to retire by rotation. Accordingly, Mr. Richard Qiangdong Liu (劉強東) (“Mr. Liu”), Dr. Xiande Zhao (趙先德) (“Dr. Zhao”) and Mr. Yang Zhang (張揚) (“Mr. Zhang”) will retire at the Annual General Meeting and, being eligible, will offer themselves for re-election as Directors at the Annual General Meeting.

The Nomination Committee assists the Board in the selection and nomination process for the above retiring Directors. The nomination was made in accordance with the Company's nomination policy and took into account the Board's composition as well as the various diversity aspects as set out in the Company's board diversity policy.

Ms. Gaw, Dr. Zhao, Mr. Zhang and Dr. Ye, being independent non-executive Directors eligible for re-election at the Annual General Meeting, have made a confirmation of independence pursuant to Rule 3.13 of the Listing Rules. The Nomination Committee and the Board have assessed the independence of Ms. Gaw, Dr. Zhao, Mr. Zhang and Dr. Ye and are satisfied that Ms. Gaw, Dr. Zhao, Mr. Zhang and Dr. Ye have the required character, integrity and experience to continue fulfilling the role of independent non-executive Directors and consider them to be independent.

In considering and approving the re-election of the retiring Directors at the Annual General Meeting, the Nomination Committee and the Board have reviewed the overall contribution and service to the Company of the retiring Directors and their level of participation and performance on the Board. Given their respective education background, in-depth experience and practice which allow them to provide valuable and relevant insights and contribute to the diversity of the Board, the Board believes that the re-election of each of Mr. Liu, Ms. Gaw, Dr. Zhao, Mr. Zhang and Dr. Ye as a Director is in the interests of the Company and the Shareholders, and therefore recommends the Shareholders to re-elect each of them as a Director at the Annual General Meeting.

The biographical details of the retiring Directors who are proposed to be re-elected at the Annual General Meeting are set out in Appendix II to this circular.

4. ANNUAL GENERAL MEETING

A notice of the Annual General Meeting is set out in Appendix III to this circular. At the Annual General Meeting, resolutions will be proposed, inter alia, to approve (i) the grant of the General Mandates; and (ii) the re-election of the retiring Directors.

In accordance with the requirements of the Listing Rules, all votes at the Annual General Meeting will be taken by poll except where the chairman, in good faith, decides to allow a resolution which relates purely to a procedural or administrative matter to be voted by a show of hands. An announcement on the poll vote results will be made by the Company after the Annual General Meeting in the manner prescribed under Rule 13.39(5) of the Listing Rules.

For determining the eligibility to attend and vote at the Annual General Meeting, the register of members of the Company will be closed from Tuesday, June 17, 2025 to Friday, June 20, 2025, both days inclusive, during which period no transfer of Shares will be registered. In order to be eligible to attend and vote at the Annual General Meeting, all transfer of Shares, accompanied by the relevant share certificates, must be lodged with the Hong Kong share registrar of the Company, Computershare Hong Kong Investor Services Limited, at 17M Floor, Hopewell Centre, 183 Queen's Road East, Wan Chai, Hong Kong, for registration not later than 4:30 p.m. on Monday, June 16, 2025.

(i) Appointment of proxy by registered Shareholders

A proxy form for the Annual General Meeting is enclosed herewith. Whether or not you are able to attend the Annual General Meeting, you are requested to complete the proxy form and return it to the Hong Kong share registrar of the Company, Computershare Hong Kong Investor Services Limited, at 17M Floor, Hopewell Centre, 183 Queen's Road East, Wan Chai, Hong Kong in accordance with the instructions printed thereon as soon as practicable but in any event not less than 48 hours before the time appointed for holding the Annual General Meeting (i.e. at or before 11:00 a.m. on Wednesday, June 18, 2025 (Hong Kong Time)), or any adjournment thereof (as the case may be). Completion and return of the proxy form will not preclude you from attending and voting in person at the Annual General Meeting or any adjourned meeting (as the case may be) should you so wish and in such event, the proxy form shall be deemed to be revoked.

The Directors consider that the proposals for (i) granting of the General Mandates to the Directors to issue and repurchase Shares; and (ii) re-electing the retiring Directors are in the best interests of the Company and the Shareholders as a whole. Accordingly, the Directors recommend all Shareholders to vote in favour of the relevant resolutions to be proposed at the Annual General Meeting in respect thereof.

APPENDIX I

EXPLANATORY STATEMENT

The following is an explanatory statement required by the Listing Rules to provide the Shareholders with requisite information reasonably necessary for them to make an informed decision on whether to vote for or against the ordinary resolution to be proposed at the Annual General Meeting in relation to the granting of the Repurchase Mandate.

This explanatory statement (the "Explanatory Statement") contains all the information required pursuant to Rule 10.06(1)(b) and other relevant provisions of the Listing Rules which is set out as follows:

  1. SHAREHOLDERS APPROVAL

All proposed repurchases of securities (which must be fully paid up in the case of shares) by a company with a primary listing on the Stock Exchange must be approved in advance by an ordinary resolution of the shareholders in general meeting, either by way of general mandate or by specific approval of a particular transaction. The Company's sole listing is on the Stock Exchange.

  1. SHARE CAPITAL

  2. As at the Latest Practicable Date, there were in issue a total of 6,643,881,772 Shares of nominal value of US$0.000025 each, all of which are fully paid and there were no treasury Shares.

  3. Under the Repurchase Mandate, the number of Shares that the Company may repurchase shall not exceed 10% of the share capital of the Company in issue (excluding any treasury Shares) on the date the resolution granting the Repurchase Mandate is passed. Assuming that no further Shares are issued or repurchased after the Latest Practicable Date and before the Annual General Meeting, there will be 6,643,881,772 Shares in issue, and exercise in full of the Repurchase Mandate would result in up to a maximum of 664,388,177 Shares being repurchased by the Company during the relevant period referred to in ordinary resolution numbered 5(b) of the notice of the Annual General Meeting.

  4. REASONS FOR THE REPURCHASE

The Directors believe that it is in the best interests of the Company and the Shareholders to have a general authority from Shareholders to enable the Directors to repurchase Shares on the market. Such repurchase may, depending on the market conditions and funding arrangements at the time, lead to an enhancement of the net assets value per Share and/or its earnings per Share and will only be made when the Directors believe that such repurchase will benefit the Company and the Shareholders.

  1. FUNDING OF REPURCHASE

Repurchase of Shares must be funded out of funds legally available for the purpose in accordance with the Articles of Association, the Listing Rules and the applicable laws and regulations of Cayman Islands. A listed company may not repurchase its own securities on the Stock Exchange for a consideration other than cash or for settlement otherwise than in accordance with the trading rules of the Stock Exchange.

APPENDIX I

EXPLANATORY STATEMENT

The exercise in full of the Repurchase Mandate might have a material adverse impact on the working capital and/or gearing position of the Company as compared with the position disclosed in the audited accounts for the year ended December 31, 2024 in the event that the Repurchase Mandate was exercised in full at any time during the proposed repurchase period. However, the Directors do not propose to exercise the Repurchase Mandate to such an extent as would, in the circumstances, have a material adverse effect on the working capital or gearing position of the Group which in the opinion of the Directors are from time to time appropriate for the Group.

5. GENERAL

(a) None of the Directors nor, to the best of their knowledge having made all reasonable enquiries, any of their close associates has any present intention, in the event that the Repurchase Mandate is approved by the Shareholders, to sell the Shares to the Company or its subsidiaries.

(b) The Directors, so far as the same may be applicable, will exercise the Repurchase Mandate in accordance with the Listing Rules and the applicable laws and regulations of Cayman Islands.

(c) The Company may cancel such repurchased Shares or hold them as treasury Shares, subject to market conditions and the Group's capital management needs at the relevant time of the repurchases.

For any treasury Shares deposited with CCASS pending resale on the Stock Exchange, the Company shall (i) procure its broker not to give any instructions to HKSCC to vote at general meetings of the Company for the treasury Shares deposited with CCASS; and (ii) in the case of dividends or distributions, withdraw the treasury Shares from CCASS, and either re-register them in its own name as treasury Shares or cancel them, in each case before the record date for the dividends or distributions, or take any other measures to ensure that it will not exercise any shareholders' rights or receive any entitlements which would otherwise be suspended under the applicable laws if those Shares were registered in its own name as treasury Shares.

(d) No core connected person has notified the Company that he or she has a present intention to sell Shares to the Company, and no core connected person has undertaken not to sell any of the Shares held by him or her to the Company, in the event that the Repurchase Mandate is approved by the Shareholders.

(e) If, as a result of any repurchase of Shares, a Shareholder's proportionate interest in the voting rights of the Company increases, such increase will be treated as an acquisition for the purpose of the Takeovers Code. Accordingly, a Shareholder or a group of Shareholders acting in concert could obtain or consolidate control of the Company and become obliged to make a mandatory offer in accordance with rule 26 of the Takeovers Code.

As at the Latest Practicable Date, to the best knowledge and belief of the Directors, Mr. Liu was interested in (i) 99,186,705 Shares and (ii) 4,192,271,100 Shares through Jingdong Technology Group Corporation and JD.com under the SFO; Mr. Liu's interests in the Company, in aggregate, represents approximately $64.59\%$ of the issued Shares. In the event that the Directors should exercise in full the Repurchase Mandate, Mr. Liu's interests in the Company will be increased to approximately $71.77\%$ of the issued Shares and such increase would not give rise to an obligation to make a mandatory general offer under the Takeovers Code. EXPLANATORY STATEMENT

Save as aforesaid, the Directors are not aware of any consequences which would arise under the Takeovers Code as a consequence of any repurchases pursuant to the Repurchase Mandate.

(1) Richard Qiangdong Liu (劉強東)

Mr. Richard Qiangdong Liu (劉強東), aged 52, is a non-executive Director, the chairman of the Board and the chairperson of the Nomination Committee. Mr. Liu has been the chairman of JD.com since inception, and served as the chief executive officer of JD.com until April 2022. Mr. Liu founded JD.com in 2004 and has guided its development and growth since then. Mr. Liu received the prestigious award “Person of the Year of Chinese Economy 2011” from CCTV, China’s nationwide television network. He was among “World’s 50 Greatest Leaders” named by Fortune Magazine in 2015. Mr. Liu has served as the chairman of the board and director of Jingdong Technology Holding Co., Ltd. (京东科技控股股份有限公司) since June 2020, and the chairman of the board and non-executive director of JD Health International Inc. (HKEX: 6618 (HKD counter) and 86618 (RMB counter)) since September 2020.

Mr. Liu received his bachelor’s degree in sociology from Renmin University of China (中國人民大學) in July 1996 and an EMBA from China Europe International Business School (中歐國際工商學院) (“CEIBS”) in October 2011.

Mr. Liu has entered into an appointment letter with the Company for an initial period of three years from the date of the Prospectus or from the date of the Prospectus until the third annual general meeting of the Company since the Listing (whichever ends sooner) and subject to (i) retirement from office and re-election at the next general meeting of the Company and (ii) retirement by rotation and re-election at least once every three years, in accordance with the Articles of Association and the Corporate Governance Code contained in Appendix C1 of the Listing Rules. According to the terms of Mr. Liu’s appointment, Mr. Liu is not entitled to receive any remuneration in his capacity as the non-executive Director (save for certain share-based compensation from time to time).

Ms. Christina Gaw (吳燕安), aged 52, is an independent non-executive Director and a member of the Audit Committee. Ms. Gaw is a managing principal, global head of capital markets of Gaw Capital Partners and has over 30 years of experience in the capital markets field. She has served as a managing principal, global head of capital markets of Gaw Capital Partners since June 2008, a managing director, head of Asia Pacific capital introduction, prime brokerage services division of UBS Group AG from May 2002 to June 2008 and an executive director, senior regional sales, equities division of Goldman Sachs Asia L.L.C from January 1994 to May 2002. Ms. Gaw was a member of the Listing Committee of the Stock Exchange.

Ms. Gaw has been a Type 4 and Type 9 Hong Kong Securities and Futures Commission Licence holder since June 16, 2009 and July 7, 2020 respectively. She has also held a Capital Markets Services Licence for Fund Management awarded by the Monetary Authority of Singapore since May 8, 2020. Besides, Ms. Gaw has served as an independent non-executive director of CLP Holdings Limited (中電控股有限公司) (HKEX: 0002) since October 2020, and has served as an executive director of Pioneer Global Group Limited (建生國際集團有限公司) (HKEX: 0224) since 2014.

Further, Ms. Gaw is an Honorary Advisor of the Hong Kong PropTech Association (香港房地產科技協會) and a Committee Member of the Urban Land Institute Hong Kong CEO Forum (城市土地學會香港CEO論壇).

Ms. Gaw received her bachelor of science in business administration from University of San Francisco in December 1993.

Ms. Gaw has entered into an appointment letter with the Company for a term of three years commencing from February 14, 2025, and shall be automatically renewed for a successive period of three years and subject to (i) retirement from office and re-election at the next general meeting of the Company and (ii) retirement by rotation and re-election at least once every three years, in accordance with the Articles of Association and the Corporate Governance Code contained in Appendix C1 of the Listing Rules. According to the terms of Ms. Gaw's appointment, Ms. Gaw is entitled to an annual director's fee of RMB340,906 in cash and the equivalent of RMB250,000 of options and/or awards under the rules of the share option scheme or share award scheme adopted by the Company from time to time and subject to the applicable vesting conditions, and Ms. Gaw is entitled to the reimbursement of all reasonable out-of-pocket expenses incurred in relation to the discharge of her duties in connection with the business of the Company. (3) Xiande Zhao (趙先德)

Dr. Xiande Zhao (趙先德), aged 63, is an independent non-executive Director, a chairperson of the Remuneration Committee and a member of the Audit Committee. Dr. Zhao is the professor of operations and supply chain management at CEIBS. He is also the associate dean of CEIBS (Shenzhen Campus) and director of CEIBS-ZKH Center of Innovations in Supply Chain and Services.

From August 1990 to December 2012, Dr. Zhao has held various academic and administrative positions at Hampton University in the United States, City University of Hong Kong, Chinese University of Hong Kong and South China University of Technology in China. Dr. Zhao was ranked as one of the most influential researchers in operational supply chain management in Asia, he has published more than 200 articles in top journals and five books. His recent research interests include digital supply chain integration and innovations, business model innovations, and supply chain finance. In addition, he has been listed as one of the most cited Chinese scholars in business, management and accounting by Elsevier for many years. He has also won many top academic awards in China and abroad. In 2020, he was awarded the Fellowship of Decision Science Institute (DSI).

Dr. Zhao also held several positions in professional organizations including the founding president and permanent honorary president of Association for Supply Chain and Operations Management (ASCOM), and founding president of International Society for Information and Management Science (IMS). He also served as the president of the Asia Pacific Institute of Decision Sciences (APDSI). He is also a co-editor-in-chief, associate editor, area editor, and senior editor of several major international journals including the Journal of Operations Management, Production and Operations Management, and the Journal of Supply Chain Management.

Dr. Zhao obtained his bachelor's degree in chemistry from Nankai University (南開大學) in June 1982 and obtained his master's degree in chemistry from the University of Utah in June 1985. He also obtained his master of business administration in June 1987 and PhD in business administration from the University of Utah in June 1990.

Dr. Zhao has entered into an appointment letter with the Company for a term of three years commencing from April 7, 2022, and shall be automatically renewed for a successive period of three years and subject to (i) retirement from office and re-election at the next general meeting of the Company and (ii) retirement by rotation and re-election at least once every three years, in accordance with the Articles of Association and the Corporate Governance Code contained in Appendix C1 of the Listing Rules. Mr. Zhang obtained his bachelor's degree in economics from Nankai University (南開大學) in July 1998, his master of science degree in finance from Aston Business School in August 1999, and his doctorate degree in finance from Chinese Academy of Social Sciences in July 2006. Mr. Zhang worked in the Tehua Post-Doctoral Programme from 2006 to 2009.

Mr. Zhang has entered into an appointment letter with the Company for a term of three years commencing from April 7, 2022, and shall be automatically renewed for a successive period of three years and subject to (i) retirement from office and re-election at the next general meeting of the Company and (ii) retirement by rotation and re-election at least once every three years, in accordance with the Articles of Association and the Corporate Governance Code contained in Appendix C1 of the Listing Rules. Dr. Ye is a doctor of law, a professor and a supervisor of doctoral students of Renmin University of China (中國人民大學) and has over 36 years of experience teaching in the law school of Renmin University of China.

Dr. Ye qualified as a lawyer in China in May 1990. Besides, Dr. Ye has served as independent non-executive director of Capital Securities Co., Ltd. (首創證券股份有限公司) (Shanghai Stock Exchange stock code: 601136) since August 2020, Beijing YJK Building Software Co., Ltd. Dr. Ye's main research fields include China's civil law, commercial law, company law, securities law, futures law, contract law, financial services law, consumer protection law, etc. He has published more than 100 papers and more than 10 books in the above relevant fields.

Dr. Ye received his bachelor of law from Renmin University of China in July 1985, and received his master's degree and doctor's degree in civil and commercial law from Renmin University of China in July 1987 and July 1993, respectively.

Dr. Ye has entered into an appointment letter with the Company for a term of three years commencing from June 28, 2024, and shall be automatically renewed for a successive period of three years and subject to (i) retirement from office and re-election at the annual general meeting of the Company and (ii) retirement by rotation and re-election at least once every three years, in accordance with the Articles of Association and the Corporate Governance Code contained in Appendix C1 of the Listing Rules. (1) "Relevant Period" means the period from the passing of this resolution until whichever is the earliest of:

(a) the conclusion of the next annual general meeting of the Company;

(b) the expiration of the period within which the next annual general meeting of the Company is required by any applicable laws of the Cayman Islands or the Articles of Association to be held; or

(iv) In order to be valid, a form of proxy must be completed, signed and returned to the Hong Kong share registrar of the Company, Computershare Hong Kong Investor Services Limited at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong together with the power of attorney or other authority (if any) under which it is signed (or a notarially certified copy thereof) not less than 48 hours before the time appointed for the holding of the Annual General Meeting (i.e. at or before 11:00 a.m. on Wednesday, June 18, 2025) or any adjournment thereof. The completion and delivery of the form of proxy shall not preclude the shareholders from attending and voting in person at the Annual General Meeting (or any adjourned meeting thereof) if they so wish.


APPENDIX III

NOTICE OF ANNUAL GENERAL MEETING

(v) The transfer books and register of members of the Company will be closed from Tuesday, June 17, 2025 to Friday, June 20, 2025, both days inclusive, to determine the entitlement of shareholders to attend and vote at the Annual General Meeting, during which period no share transfers can be registered. All transfers accompanied by the relevant share certificates must be lodged with the Hong Kong share registrar of the Company, Computershare Hong Kong Investor Services Limited at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong not later than 4:30 p.m. on Monday, June 16, 2025.

(vi) In respect of the ordinary resolution 2 above, Mr. Richard Qiangdong Liu (劉強東), Ms. Christina Gaw (吳燕安), Dr. Xiande Zhao (趙先德), Mr. Yang Zhang (張揚) and Dr. Lin Ye (葉林) will retire and be eligible to stand for re-election at the Annual General Meeting. The biography of each of the above retiring Directors standing for re-election are set out in Appendix II to the circular to the shareholders of the Company dated April 25, 2025.

(vii) In respect of the ordinary resolution 5(a) above, the Directors wish to state that they have no immediate plans to issue any new shares of the Company. Approval is being sought from shareholders of the Company as a general mandate for the purposes of the Listing Rules.

(viii) In respect of the ordinary resolution 5(b) above, the Directors wish to state that they will exercise the powers conferred by the general mandate to repurchase shares of the Company in circumstances which they deem appropriate for the benefits of shareholders of the Company. The explanatory statement containing the information necessary to enable shareholders of the Company to make an informed decision on whether to vote for or against the resolution to approve the repurchase by the Company of its own shares, as required by the Listing Rules, is set out in Appendix I to the circular dated April 25, 2025.

(ix) References to time and dates in this notice are to Hong Kong time and dates.
