एतद् द्वारा सूचित किया जाता है कि तिथि 2 जनवरी, 2020 की सूचना पत्र में लिखित विशेष प्रस्तावित व्यापार के लिए सदस्यों की सहमति प्राप्त करने हेतु (जो कि मतपत्र या ई-वोटिंग से किया जा सकता है), इंडियाबुल्स इंटिग्रेटेड सर्विसेज लिमिटेड (कंपनी) ने कंपनी अधिनियम 2013 की धारा 110 एवं कंपनी (प्रबंधन एवं प्रशासन) नियम 2014 के नियम नं. 22 के अनुसार सूचना का प्रेषण मतपत्र एवं स्वयं संबोधित लिफाफे के साथ 4 जनवरी, 2020 को पूर्ण कर दिया है ।

जो सदस्य अपना मतदान ई-वोटिंग से करना चाहता हैं, जिसका प्रावधान कंपनी अधिनियम 2013 की धारा 108 एवं कंपनी (प्रबंधन एवं प्रशासन) नियम 2014 के नियम नं. 20 और सेबी (सूची निर्धारण और प्रकटीकरण आवश्यकताएँ) विनियम, 2015 के विनियमन 44 में है, उनके लिए कंपनी अपने रजिस्ट्रार एवं शेयर ट्रांसफर एजेंस, मैसर्स केफिन टेक्नोलॉजिज़ प्राइवेट लिमिटेड (केफिन्टेक) के माध्यम से ई-वोटिंग की व्यवस्था प्रदान कर रही है । ई-वोटिंग प्रक्रिया ई-वोटिंग वेबसाईट https://evoting.karvy.com पर उपलब्ध है ।

ई-वोटिंग मंगलवार, 7 जनवरी, 2020 को सुबह 10 बजे से शुरू होगी और बुधवार, 5 फरवरी, 2020 शाम 5 बजे तक जारी रहेगी । बुधवार, 5 फरवरी, 2020 शाम 5 बजे के बाद ई-वोटिंग की सुविधा उपलब्ध नहीं होगी । अत: मतपत्र डाक के माध्यम से मतदान करने के लिए, पूर्ण तरह से भरा और हस्ताक्षरित मतपत्र, स्कूटिनाईजर को बुधवार, 5 फरवरी, 2020, शाम 5 बजे तक भेजा जा सकता है। बुधवार, 5 फरवरी, 2020 शाम 5 बजे के बाद ई-वोटिंग द्वारा मतदान की अनुमति नहीं दी जाएगी ।

जिन सदस्यों को नोटिस और / या डाक मतपत्र प्राप्त नहीं हुआ है, वे कंपनी की वेबसाईट www.indiabullsintegratedservices.com पर ‘Investor Relations’ अनुभाग से नोटिस (ई-वोटिंग निर्देशों सहित व्याख्यात्मक विवरण के साथ) तथा डाक मतपत्र पत्र डाउनलोड कर सकते हैं या प्रतिलिपि प्राप्त करने के लिए कंपनी को लिख सकते हैं ।

गुरुवार, 6 फरवरी, 2020 को कंपनी के पंजीकृत कार्यालय में परिणाम स्कूटिनाईजर रिपोर्ट के साथ शाम 5 बजे तक घोषित किए जाएंगे और कंपनी की वेबसाईट www.indiabullsintegratedservices.com और केफिन टेक्नोलॉजिज़ प्राइवेट लिमिटेड यानी https://evoting.karvy.com पर भी रखा जाएगा और स्टॉक एक्सचेंजों को सूचित किया जाएगा, जिसमें कंपनी के शेयर सूचीबद्ध है ।

POSTAL BALLOT NOTICE

Notice is hereby given that Indiabulls Integrated Services Limited (formerly SORIL Holdings and Ventures Limited) (“the Company”) has, on January 4, 2020, completed the dispatch of Notice to its all eligible Members, under Section 110 of the Companies Act, 2013, read with Rule 22 of the Companies (Management and Administration) Rules, 2014 along with the Postal Ballot Form and a self-addressed postage pre-paid envelope, for seeking the consent of the members by way of Special Resolutions for the business set out in the Notice dated January 2, 2020, to be transacted by postal ballot which includes voting by electronic means.

In case a member desires to exercise vote by using e-voting as stipulated under Section 108 of the Companies Act, 2013, read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company is providing e-voting platform for the above through M/s KFin Technologies Private Limited (Kfintech), the Registrar & Share Transfer Agent of the Company. The procedure for e-voting is available on the e-voting website: https://evoting.karvy.com.

Notice is further given that the e-voting will commence on Tuesday, January 07, 2020 at 10:00 A.M. onwards and will continue till 5.00 P.M. on Wednesday, February 05, 2020. The e-voting shall not be allowed beyond 5.00 P.M. on Wednesday, February 05, 2020. Similarly the votes through physical postal ballot can be casted by sending back to the Company, the filled up and signed postal ballot forms, so as to reach the scrutinizer latest by 5.00 P.M. on Wednesday, February 05, 2020. Postal ballot forms received after 5.00 P.M. on Wednesday, February 05, 2020 will be strictly treated as invalid and voting whether by post or by electronic means shall not be allowed beyond said date.

Postal Ballot Notice along with Explanatory Statement including e-voting instructions and also the Postal Ballot Form (For those members who have not received the notice and/or the Postal Ballot Form) can be downloaded from the ‘Investor Relations’ Section on Company’s website: www.indiabullsintegratedservices.com or may apply to the Company and obtain duplicate thereof.

The Results shall be declared along with the Scrutinizers’ Report latest by 5:00 P.M. on Thursday, February 06, 2020 at the Registered Office of the Company and shall also be placed on the Company’s website www.indiabullsintegratedservices.com and on the website of KFin Technologies Pvt. Ltd, i.e. https://evoting.karvy.com., and shall be communicated to the Stock Exchanges where the Company’s shares are listed.
