CERTIFICATE UNDER REGULATION 40(9) OF SEBI (LISTING OBLIGATIONS AND DISLCOSURE REQUIRMENTS) REGULATIONS, 2015 FOR THE HALF YEAR ENDED 31[st] March, 2020

Dear Sir,

I have examined all Share Transfer Deeds, Memorandum of Transfers, Registers, files and other documents relating to HFCL Limited (formerly known as M/s Himachal Futuristic Communications Limited) maintained by M/s MCS Share Transfer Agent Limited, pertaining to transfer of equity shares of the Company for the period from 1[st] October, 2019 to 31[st] March, 2020 for the purpose of issuing a certificate as per Regulations 40(9) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 entered into by HFCL Limited with BSE Limited (BSE)/ National Stock Exchange of India Ltd (NSE), and based on the information provided by the Company, I hereby certify that the Company has delivered during half year ended on 31[st] March, 2020:-

• (A) i) Share Certificate(s) relating to the transfer of shares related to transfer deeds lodged prior to 1[st] April, 2019 and re-lodged thereafter, received during the period from 1[st] October, 2019 to 31[st] March, 2020 within fifteen days, as entered in the Memorandum of Transfers from the respective date of lodgment of each deed excepting those rejected on technical grounds. – Not Applicable

ii) Share Certificates in respect of request relating to transmission during the period 1[st] October, 2019 to 31[st] March, 2020 within fifteen days, from the respective date of lodgment excepting those rejected on technical grounds.

• (B) During the period from 1[st] October, 2019 to 31[st] March, 2020 Company has issued 120 duplicate equity shares after complying with all the necessary requirements.

• (C) There was no sub-division, consolidation, renewal, exchange, or endorsement of calls/allotment money during the said period.

Due to COVID-19 pandemic and the proactive steps taken by the Government of India in declaring lockdown effective from March 24, 2020, certain transaction of Transmission/Duplicate inwarded by the RTA may not have been processed/released since their offices are not functional from March 24, 2020 onwards. During the period of nationwide lockdown in the country due to pandemic of Coronavirus, relevant records were examined as far as made available by way of electronic media by the Company/RTA.
