Strategic acquisition of USA-based MITO® Material Solutions complete

Highlights

First Graphene Limited (ASX: FGR; “First Graphene” or “the Company”) (FRA:M11) (OTCQB:FGPHF) is pleased to announce the acquisition of MITO® Material Solutions (“MITO”) is complete and settlement achieved with terms unchanged (refer ASX announcement 4 June 2026).

First Graphene has acquired products, manufacturing equipment and intellectual property of the USA-based company, including four key product lines covering a suite of thermoset, thermoplastic, composite materials, coatings, liquids, resins and nanomaterial additives.

These product lines have strong established commercial pipelines, predominantly in premium sporting equipment markets, providing immediate revenue for First Graphene with the first Purchase Order following the announcement of the acquisition already received.

MITO® Materials CEO Haley Marie Keith is also set to join the FGR team as Vice President Business Development.

As co-founder of MITO® more than a decade ago, Haley has extensive experience operating and leading in the composites and nanotechnologies sectors. Haley holds a Master of Business Administration (MBA) and has combined technical expertise with commercial leadership throughout her career.

Haley is also a nominated industry expert for nanotechnologies, specifically graphene-related materials, under the International Organization for Standardization (“ISO”). In addition, she served

for two years on the Board of the Institute for Advanced Composites Manufacturing Innovation ("IACMI") Consortium, representing small and medium-sized businesses within the advanced manufacturing sector.

At First Graphene, Haley will provide strategic business development, commercial engagement, as well as brand and market expansion services in the USA, leveraging her extensive experience to support growth in the region.

The acquisition of MITO® expands the Company's capabilities in functionalising graphite, graphene and graphene oxide, which is important in enhancing performance of defence applications.

It immediately strengthens FGR's presence in the USA market through an established, direct operational and commercial platform, positioning the Company for new revenue growth, customer penetration and partnerships.

Importantly, First Graphene's expanded footprint in the USA provides greater access to the nation's growing defence sector, valued at more than USD$1.18 trillion¹, as well as the aerospace industry.

Functionalised graphene and graphene oxide are considered critical for these industries due to the graphene's capabilities in improving mechanical performance, conductivity, durability and multifunctionality.

First Graphene has commenced development of an integration plan to streamline the unification of MITO's product lines, equipment and customer base, with further updates to be announced in due course.
