Completion of Retail Entitlement Offer

Sunnyvale, California; 24 June 2026: EBR Systems, Inc. (ASX: "EBR", "EBR Systems" or the "Company") developer of the world's only wireless cardiac pacing device for heart failure, is today pleased to announce the completion of the retail component (Retail Entitlement Offer) of its fully underwritten 1 for 2 pro-rata accelerated non-renounceable entitlement offer of new CHESS Depositary Interests (CDIs) at an issue price of A$0.38 per CDI (New CDI) to raise approximately A$43.6 million (Entitlement Offer).

The Retail Entitlement Offer represents the final stage of EBR's Entitlement Offer. The institutional component of the Entitlement Offer completed on Thursday, 4 June 2026.

The Retail Entitlement Offer closed at 5:00pm (Sydney time) on Monday, 22 June 2026 with valid applications received for 28,758,243 New CDIs (including applications under the top-up facility for approximately 5,884,242 New CDIs) raising approximately A$10.9 million. Applications under the top-up facility which exceeded the 100% cap (totaling 50,296 New CDIs in aggregate) will be scaled back to the cap.

The entitlements of ineligible retail securityholders and entitlements not taken up by eligible retail securityholders represent approximately 85,941,687 New CDIs and will be placed in accordance with the terms of the underwriting agreement between Canaccord Genuity Australia Limited, E&P Capital Pty Limited and Morgans Corporate Limited ("JLMs"). The Retail Entitlement Offer is fully underwritten by the JLMs.

The New CDIs will be issued on Monday, 29 June 2026 and are expected to commence trading on ASX on Tuesday, 30 June 2026. New CDIs will rank equally with existing CDIs in all respects from the date of issue.

EBR Systems' WiSE Technology

EBR Systems' WiSE technology is the world's only wireless, endocardial (inside the heart) pacing system in clinical use for stimulating the heart's left ventricle. This has long been a goal of cardiac pacing companies since internal stimulation of the left ventricle is thought to be a potentially superior, more anatomically correct pacing location. WiSE technology enables cardiac pacing of the left ventricle with a novel cardiac implant that is roughly the size of a large grain of rice. The need for a pacing wire on the outside of the heart's left ventricle – and the attendant problems – are potentially eliminated.
