A representative of American Election Services has been appointed as our Inspector of Election for this meeting and has signed an oath. Brown, Milan Kovac, Alfred Lin, and Stanley Tang to serve as Class III directors of the company until the company's 2029 annual meeting of stockholders and until their successors are duly elected and qualified. All nominees were proposed by the company's board of directors. No nominees were submitted by stockholders. The board of directors unanimously recommends a vote for the nominees. The second matter to be voted on is a proposal to ratify the appointment of KPMG, an independent registered public accounting firm, as the company's auditors for the fiscal year ending December 31st, 2026. The third matter to be voted on is a proposal to approve, on an advisory basis, the compensation of the company's named executive officers.
