Sub: Outcome of Board Meeting held today i.e. Monday $22^{\mathrm{nd}}$ June, 2026.
Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure requirements) Regulation 2015, we wish to inform you that the Board of Directors of the Company at their meeting held today i.e. Monday, $22^{\mathrm{nd}}$ June, 2026 inter-alia, considered following matter:
Approved the appointment of Ms. Puja Verma (DIN: 09598057), as an Additional Woman Director (Non-Executive & Independent Category) of the Company.
Based on the recommendation of the members of the Nomination and Remuneration Committee, the members of the Board of Directors of the Company have approved appointment of Ms. Puja Verma (DIN: 09598057) as an Additional Woman Director (Non-Executive and Independent Director Category) of the Company for a period of three (3) consecutive years i.e., from $22^{\mathrm{nd}}$ June, 2026 to $21^{\mathrm{st}}$ June, 2029.
The disclosure pursuant to SEBI Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November 2024, is enclosed as "Annexure I".
Ms. Puja Verma (DIN: 09598057) is not disqualified from holding the office of Director pursuant to provisions of Section 164 of the Companies Act, 2013.
The Meeting of the Board of directors commenced at 02.00 P.M. and concluded at 02.30 P.M.
