Dear Sir/Madam,
Pursuant to Regulations 30, 42 and 43 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015,("SEBI Listing Regulations") and in continuation to our letter bearing Ref. No.: CMSINFO/SDDD/2602/001 dated February 09, 2026, we wish to inform you that the Board of Directors of CMS Info Systems Limited ("the Company"), at its meeting held today i.e. Thursday, February 12, 2026, inter-alia, have considered and approved the following:
- Un-Audited Financial Results (Standalone and Consolidated) for the quarter and nine months ended December 31, 2025, pursuant to Regulation 33 of the SEBI Listing Regulations:
The Unaudited Consolidated Financial Results of the Company for the quarter and nine months ended December 31, 2025 along with Limited Review Report thereon are enclosed as Annexure IIA and the Unaudited Standalone Financial Results of the Company for the quarter and nine months ended December 31, 2025 along with Limited Review Report thereon are enclosed as Annexure IIB.
The Board has also considered and approved the Media Release on the Un-Audited Financial Results (Standalone and Consolidated) to be issued by the Company, which is enclosed as Annexure I.
- Declaration of Interim Dividend and fixation of Record Date:
The Board has declared an interim dividend of ₹ 2.75/- per equity share of face value of ₹ 10/- each fully paid up (representing 27.50 %) and the said interim dividend will be paid on or before March 14, 2026.
Pursuant to Regulation 42 of SEBI Listing Regulations, the Board of Directors have fixed Wednesday February 18, 2026 as the "Record Date" for the purpose of payment of Interim Dividend. Accordingly, members whose name appear as on close of business hours on Wednesday February 18, 2026 as beneficial owners as per the details furnished by the Depositories in respect of shares held in electronic form and/ or as

members in the Register of Members, will be entitled for the interim dividend pay-out proportionate to their shareholding as on that date.
- Approved the Notice of Postal Ballot seeking Shareholders' approval for the appointment of Ms. Vidya Krishnan (DIN: 09669166) as an Independent Director of the Company.
The meeting of the Board of Directors commenced at 07:00 PM (IST) and concluded at 8:55 P.M. (IST).

Mr. Rajiv Kaul – Exec. VC & CEO commented, "FY26 has been an intensely volatile year following a strong growth CAGR of 18% between FY22 and FY25. Wage inflation, industry-related issues, and macro events have affected revenue growth in the last two quarters and significantly impacted margins. We have made one-time investments in new delivery models to increase network productivity and drive profitable growth. With high-quality, long-duration, large order wins at SBI and ICICI of ₹1500 Cr+, we feel confident that we have bottomed out with Q3 and are well-positioned to see strong QoQ gains to reach our FY27 revenue goal of ₹2,800 Cr."

Limited Review Report on unaudited consolidated financial results of CMS Info Systems Limited for the quarter ended 31 December 2025 and year to date results for the period from 01 April 2025 to 31 December 2025 pursuant to Regulation 33 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended

- 1. We have reviewed the accompanying Statement of unaudited consolidated financial results of CMS Info Systems Limited (hereinafter referred to as "the Parent"), and its subsidiaries (the Parent and its subsidiaries together referred to as "the Group") for the quarter ended 31 December 2025 and year to date results for the period from 01 April 2025 to 31 December 2025 ("the Statement"), being submitted by the Parent pursuant to the requirements of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ("Listing Regulations").

- This Statement, which is the responsibility of the Parent's management and approved by the Parent's Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 "Interim Financial Reporting" ("Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013, and other accounting principles generally accepted in India and in compliance with Regulation 33 of the Listing Regulations. Our responsibility is to express a conclusion on the Statement based on our review.

- We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.
We also performed procedures in accordance with the circular issued by the Securities and Exchange Board of India under Regulation 33(8) of the Listing Regulations, to the extent applicable.

- Based on our review conducted and procedures performed as stated in paragraph 3 above and based on the consideration of the review reports of the other auditors referred to in paragraph 6 below, nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with the recognition and measurement principles laid down in the aforesaid Indian Accounting Standard and other accounting principles generally accepted in India, has not disclosed the information required to be disclosed in terms of Regulation 33 of the Listing Regulations, including the manner in which it is to be disclosed, or that it contains any material misstatement.

- We did not review the interim financial results of one (1) Subsidiary included in the Statement, whose interim financial results reflect total revenues (before consolidation adjustments) of Rs. 433.63 million and Rs. 1,310.47 million, total net profit after tax (before consolidation adjustments) of Rs. 31.23 million and Rs. 138.09 million and total comprehensive income (before consolidation adjustments) of Rs. 34.45 million and Rs. 139.07 million , for the quarter ended 31 December 2025 and for the period from 01 April 2025 to 31 December 2025 respectively, as considered in the Statement. These interim financial results have been reviewed by other auditor whose report has been furnished to us by the Parent's management and our conclusion on the Statement, in so far as it relates to the amounts and disclosures included in respect of this subsidiary, is based solely on the report of the other auditors and the procedures performed by us as stated in paragraph 3 above.
Our conclusion is not modified in respect of this matter.
- The Statement includes the interim financial results of seven (7) Subsidiaries which have not been reviewed, whose interim financial results reflects total revenues (before consolidation adjustments) of Rs . 776.63 million and Rs. 1,982 million . total net profiU{loss) after tax (before consolidation adjustments) of (Rs. 14.49 million) and Rs. 80.23 million and total comprehensive income (before consolidation adjustments) of (Rs. 16.22 million) and Rs 78.46 million for the quarter ended 31 December 2025 and for the period from 01 April 2025 to 31 December 2025 respectively, as considered in the Statement. According to the information and explanations given to us by the Parent's management, these interim financial results are not material to the Group.

- The Group has identified the following segments as reporting segments:
a) Cash management services,
b) Managed services and
c} Card services
2) Cash management services includes ATM cash management services, Retail cash management solutions, Cash in transit services for banks and other related services.
3) Managed services ·1ncludes banking automation product deployment and AMC, Brown Label ATMs and managed services for banks, Software solutions including multi-vendor software and automation solutions and Remote monitOf'ing Technology solutions.
4) Card services includes revenue from trading in card and card personalization services.


Notes to Consolidated financial results:
- 1 The above unaudited consolidated financial results of CMS Info Systems Limited ("the Parent Company") and its subsidiaries (the Pa rent Company and its subsidiaries together referred to as "the Group") have been prepared in accordance with the Indian Accounting Standards ("Ind AS") as prescribed under Section 133 of the Companies Act, 2013, read with the relevant rules thereunder and in terms of Regulation 33 of The Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations. 2015 as amended .
- 2 The above unaudited Consolidated financial results for the quarter and nine months ended December 31, 2025 were reviewed by the Audit Committee and approved by the Board of Directors in their respective meeting held on February 12, 2026. The statutory auditors of the Group have carried out the limited review of the aforesaid results for the quarter and nine months ended December 31, 2025. The statutory auditors have issued an unmodified report on the above results.
- 3 The Government of India has implemented four new Labour Codes ("Codes"), including the Code on Wages, 2019, with effect from November 21, 2025. The Group has assessed and accounted for the incremental impact of these changes as per the guidance provided by the Institute of Chartered Accountants of India, which has resulted in the recognition of incremental employee benefit expenses of INR 111.07 Million charged to the Statement of Unaudited Consolidated Financial Results for the quarter and nine months ended 31 December 2025. Considering the materiality, regulatory-driven and an enactment of the new legislation, which is an event of non recurri ng nature, the Company has presented such incremental impact as "Exceptional items" in the statement of Unaudited Consolidated Financial Results for the quarter and nine months ended 31 December 2025. The Group continues to monitor the developments pertaining to Labour Codes and will evaluate impact, if any, on the measurement of liability pertaining to employee benefits.
- 4 The above unaudited consolidated financial results comprise the results of CMS Info Systems Limited (Parent Company), eight subsidiary companies (including one trust).
- 5 The Board of Directors at its meeting held on February 12, 2026 has declared an Interim dividend of INR 2.75/- per Equity share of INR 10 each for FY 2025-26.
- 6 Pursuant to the approval of Board of Directors at their meeting held on July 23 2025, the Parent Company signed and executed a Share Purchase Agreement for acquisition of up to 100% of shareholding of Securens Systems Private Limited (SSPL). SSPL is engaged in the business of Vision Al. The Parent Company has completed the aforesaid acquisition of 99.50% as on October 28 2025 for a consideration of INR 441.07 Million. The consolidated results for the quarter ended September 30, 2025 includes the results of SSPL from September 11,2025 to September 30,2025.
- 7 The above Financial Results of the Group are available on the Parent Company's website www.cms.com and also on the website of BSE i.e. www.bseindia.com and NSE i.e. www.nseindia.com, where the shares of the Holding Company are listed.

- We have reviewed the accompanying Statement of unaudited standalone financial results of CMS Info Systems Limited (hereinafter referred to as "the Company") for the quarter ended 31 December 2025 and year to date results for the period from 1 April 2025 to 31 December 2025 ("the Statement").

- This Statement, which is the responsibility of the Company's management and approved by its Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 "Interim Financial Reporting" ("Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013, and other accounting principles generally accepted in India and in compliance with Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ("Listing Regulations"). Our responsibility is to issue a report on the Statement based on our review.

- We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.

- Based on our review conducted as above, nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with the recognition and measurement principles laid down in the aforesaid Indian Accounting Standard and other accounting principles generally accepted in India, has not disclosed the information required to be disclosed in terms of Regulation 33 of the Listing Regulations, including the manner in which it is to be disclosed, or that it contains any material misstatement.

Notes to Standalone financial results:
- 1 The above unaudited standalone financial results of CMS Info Systems Limited ("the Company") have been prepared in accordance with the Indian Accounting Standards ("Ind AS") as prescribed under Section 133 of the Companies Act, 2013, read with the relevant rules thereunder and in terms of Regulation 33 of Th e Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended.
- 2 The above unaudited Standalone financial results for the quarter and nine months ended December 31, 2025 were reviewed by the Audit Committee and approved by the Board of Directors in their respective meeting held on February 12, 2026. The statutory auditors of the Company have carried out the limited review of the aforesaid results for the quarter and nine months ended December 31, 2025. The statutory auditors have issued an unmodified report on the above results.
- 3 The Government of India has implemented four new Labour Codes ("Codes"), including the Code on Wages, 2019, with effect from November 21, 2025. The Company has assessed and accounted for the incremental impact of these changes as per the guidance provided by the Institute of Chartered Accountants of India, which has resulted in the recognition of incremental employee benefit expenses of INR 57.05 Million charged to the Statement of Unaudited Standalone Financial Results for the quarter and nine months ended 31 December 2025. Considering the materiality, regulatory-driven and an enactment of the new legislation, which is an event of non recurring nature, the Company has presented such incremental impact as "Exceptional items" in the statement of Unaudited Standalone Financial Results for the quarter and nine months ended 31 December 2025. The Company continues to monitor the developments pertaining to Labour Codes and will evaluate impact, if any, on the measurement of lia bility pertaining to employee benefits.
- 4 Other income for quarter ended September 30,2025 and nine months ended December 31, 2025 includes °' 119.25 Million dividend received from one of its subsidiary.
- 5 The Board of Directors at its meeting held on February 12, 2026 has declared an Interim dividend of INR 2.75/- per Equity share of INR 10 each for FY 2025-26.
- 6 The above Financial Results of the Company are available on the Company's website www.cms.com and also on the website of BSE i.e. www.bseindia.com and NSE i.e. www.nseindia.com, where the shares of the Company are listed.
