Sub: 16[th] Annual General Meeting of the Members of the Company and intimation of Record Date for Dividend payment

A. “Annual General Meeting” of the Members of the Company:

1. We are pleased to inform you that the 16[th] Annual General Meeting (“ AGM ”) of the Members of the Company will be held on Wednesday, September 6, 2023 at 3.00 P.M. (IST) through Video Conferencing (“VC”)/ Other Audio Visual Means (“OAVM”), in accordance with the applicable circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India.

2. The Company has fixed Wednesday, August 30, 2023 as the “ Cut-off Date ” for the purpose of determining the Members eligible to vote on the resolutions set out in the Notice of the AGM and to attend the AGM.

3. The Notice of the AGM for the financial year 2022-23 comprising the standalone and consolidated audited financial statements for the financial year 2022-23, along with the Board’s Report, Auditor’s Report and other documents required to be attached thereto, will be sent in electronic mode to all the Members of the Company whose e-mail address is registered with the Company/Company’s Registrar and Share Transfer Agent, Link Intime India Pvt. Ltd (“R&T“)/Depository Participant(s). The Notice of the 16[th] AGM and Annual Report will also be available on the website of the Company at www.cms.com.

4. The details such as manner of: i) Registering/ updating- e-mail address/ bank account details; ii) Casting vote through e-voting; and iii) attending the AGM through VC/OAVM has been set out in the Notice of the AGM.

B. “Record Date” and “Dividend payment”

The Company has fixed Wednesday, August 30, 2023 as the Record Date for determining the entitlement of members to final dividend for the financial year ended March 31, 2023 subject to the approval of the members at the ensuing AGM of the Company to be held on September 6, 2023.

The dividend shall be payable to all Beneficial Owners in respect of shares held in dematerialized form as per the data as may be made available by the National Securities Depository Limited and the Central Depository Services (India) Limited and to all members holding shares in physical form as of the close of business hours on Wednesday, August 30, 2023.
