through Postal Ballot (only by way of e-voting) for "Shifting the Registered office of the Company from the National Capital Territory of Delhi to the
State of Haryana" as stated in Postal Ballot! E-voting (the 'Notice'') dated January 07, 2021. Detailed explanatory statement setting out the material facts concerning the resolution, forms part of the Notice. The Notice shall also be uploaded on the website of the Company (www.airtel.com), on the website of KFin Technologies Private Limited, the Company's Registrar and Share Transfer Agent ("KFintech") at https://evoting.kfintech.com and on the website of National Stock Exchange of India Limited (www.nseindia.com) and BSE Limited (www.bseindia.com). Members are hereby informed that: 1. The Company has completed the dispatch of Notice through e-mails to the members on Saturday, January 09, 2021. 2. The cut-off date for the purpose of reckoning the Voting rights and sending Notice is Friday, January 01, 2021 (cut-off date). The member whose name is recorded in the register of members or in the register of beneficial owners maintained by the depositories as on the cut-off date only shall be entitled to avail the facility of e-voting In compliance with the NCA Circulars, Notice has been sent only 3. through email to the members whose email addresses are registered with the Company/ Depository Participant(s) ('DPs'). In view of limited postal/ courier services and on account of threat posed by COVID-19 pandemic situation, physical copies of the Notice, Postal Ballct Form and pre-paid business reply envelope have not been sent to the members The detailed procedure/ instructions on the process of e-voting, 4 including the manner in which the members who have not yet registered their email addresses can register their email address and/ or can cast their vote, are specified in the Notice. The e-voting period will commence on Monday, January 11, 2021 at 9.00 A.M. (IST) and end on Tuesday, February 09, 2021 at 5.00 P.M. (IST). The e-voting module shall be disabled by KFintech for voting thereafter and e-voting shall not be allowed beyond the said date. Once the vote on a resolution is cast by the member, the member cannot modify it subsequently. The results of the Postal Ballot will be announced by Thursday, February 11, 2021. The results, along with Scrutinizer Report, will be displayed at the Registered office, hosted at the Company's website i.e. www.airtel.com and on the e-voting website of KFintech i.e. https://evoting.kfintech.com. The results will also be intimated simultaneously to the Stock Exchanges where the Company's shares are listed. 7.
