Sub: Disclosure as per Regulation 7(2)(b) of SEBI (Prohibition of Insider Trading) Regulations, 2015
We are to inform in furtherance to our letter dt.29/02/2024, that as per intimation dt.28/02/2024 received from M/s. Villasini Real Estate Private Limited ("Villasini"/ "Transferor Company"), one of the Promoter Entity, the Transferor Company got amalgamated with M/s.Sure Power Technologies Private Limited ("Transferee Company"). We are yet to receive intimation from the Transferee Company about transfer of shares and change in promoter shareholdings pursuant to the amalgamation.
Further, pending the above disclosure from the Transferee Company, we have received the attached disclosure pursuant to Regulation 7(2)(a) of SEBI (Prohibition of Insider Trading) Regulations, 2015 (PIT Regulations), in Form C in respect to sale of Equity Shares of the Company. On verification of the Beneficiary Positions of demat holdings as on Friday, 22/11/2024 we came to understand that entire holdings of Transferor Company (13,47,465 equity shares i.e.3.417% of total shareholding) is changed to the name of the Transferee Company during the week ended on that date.
We will update further details in due course, please take this into record.
