આથી નોટીસ આપવામાં આવે છે કે કંપનીની -૨૪મી વાર્ષિક સાયારણ સભા શકવાર તારીખ: ૨૧,ઓગસ્ટ, ૨૦૨૦ નાં રોજ સવારનાં ૧૧:૦૦ કલાકે વિડિયો સંગઠળ (વીસી) /અન્ય ઓડિયો વિ∋યુઅલ મિન્સ (ઓએવીએમ) દારા પોપાવમાં આવશે જેમાં એજીએમની નોટીસમા દર્શાવ્યા મુજબના કાર્યો તાથ ધરાશે.

હાલના કોવીડ-૧૯ રોગચાળાને થાનમાં રાખીને ભારત સરકારના કોર્પોરેટ અઠેર્સ મંત્રાલય દ્વારા તેમના પરિષત્ર નં.૧૪/૨૦૨૦ તા.૮મી એપ્રિલ,૨૦૦૨, પરિષત્ર નં.૧૭/૨૦૨૦ તા.૧૩મી એપ્રિલ ૨૦૨૦ અને પરિષત્ર નં.૨૦/૨૦૨૦ તા.પર્યાં મે ૨૦૨૦ તથા સિક્યોરીટીઝ અને એક્સચેન્જ બોર્ડ ઓક ઇન્ડિયા દ્વારા તેમના પરિષદ્ય નંબર SEBI/HO/CFD/DMD1/CIR/P/2020/79 તા.૧ રચી ચે. ૨૦૨૦ (પરિષદ્યો) માં વીસી/ઓએવીએમ દ્રારા એજીએમ કોઇપણ વ્યક્તિની પ્રત્યક્ષ હાજરી વિના માત્ર વીસી/ઓએવીએમ દ્રારા ચોજવાની પરવાનગી આપેલ છે. આ પરિપત્રો અને કંપની થારા ૨૦૧૩ની સંબંધિત જોગવાઇઓ અને સિક્યોરીટીઝ અને એક્સચેન્જ બોર્ડ ઓફ ઇન્ડિયા (લિસ્ટીંગ ઑબ્લિગેશન્સ એન્ડ પ્રિકલોઝર રેગ્યુલેશન) રેગ્યુલેશન ૨૦૧૫ના પાલનમાં, કંપનીના સભ્યોની એલએમ વીસીઆએવીએમ દ્રારા રાખવામાં આવશે.

ઉપરોક્ત પરિપત્રો અનુસાર, વાર્ષિક અહેવાલ ૨૦૧૯-૨૦ સાથે એજીએમની નોટીસ કક્ત તેજ સબ્યોને ઇલેક્ટોનિક મોડ દારા મોકવામાં આવી રહી છે. જેમના ઇ-મેઇલ સરનામાં કંપની/ડિપોઝીટરીમાં નોંધાયેલા છે. સભ્યો નોંધ લેશે કે એલએમ અને વાર્ષિક અહેવાલ ૨૦૧૯-૨૦ નોટીસ કંપની વેબસાઇટ www.astralpipes.com સ્ટોક એક્સચેન્જની વેબસાઇટ એટલેકે બીએસઇ લીમીટેડ અને નેશનલ સ્ટોક એક્સચેન્જ ઓક ઇન્જિય લીપીટેડ અનક્યે www.bseindia.com અને www.nseindia.com પર ઉપલબ્ધ હશે.. તથા ઇ-રોટિંગની સુવિધા પુરી પાક્યાર સંસ્થા સીડીએસએલની વેબસાઇટ WWW.evotingindia પર પણ ઉપલબ્ધ છે. સભ્યો ફક્ત વીસી /ઓએવીએમ સુવિધા દ્રારા જ એજીએમમાં હાજરી| આપી અને ભાગ લઇ શકે છે. એજીએમમાં જો ઘવા માટેની સૂચનાઓ એજીએમની નોટીસમાં આપવામાં આવી છે. વીસી / ઓએવીએમ દ્રારા બેઠકમાં ભાગ લેનારા સભ્યોની ગણતરી કંપની થારા ૨૦૧૩ની કલમ ૧૦૩ મુજબ ક્રોરથની ગણતરીના હેતુ માટે કરવામાં આવશે.

કંપની એજએમની સુચનામાં જણાવેલ તમામ કરાવો પર પોતાના મત આપવા માટે તેના તમામ સભ્યોને રિમોટ ઇ-વોટીંગ સુવિધા (રીમોટ ઇ-વોટીંગ) પ્રઘન કરી રહી છે. વધમાં કંપની એજીએમ કરમચિાન ઇ-વોટીંગ સિસ્ટમ (ઇ-વોટીંગ) દ્વારા મતઘાન કરવાની સવિધા પ્રઘન કરી રહી છે. રિમોટ ઇ-વોર્ટિંગ/ઇ-વોર્ટિંગ માટેની વિગતવાર સચના એજીએમની નોટીસમાં આપવામાં આવી છે.

એવા સભ્ય(ઓ) કે જેમણે કંપની/ડિયોઝિટરી સાથે પોતાના ઇ-મેઇલ એંડ્રેસને રલસ્ટર કર્યા નથી, તેમણે વાર્ષિક અહેવાલ મેળવવા માટે અને ઇ∼વોર્ટીંગ માટે લોગિન વિગતો મેળવવા માટે તેમના ઇ∽મેઇલ એડેસને નોંધાવવા માટે કૃપા કરીને નીચે આપેલ સુચનોને અનુસરવા વિનંતી છે :- |

ર ૪મી એજીએમની નોટીસ કટ-ઓક તારીખ ૨૪મી જુલાઈ ૨૦૨૦ના દિવસે શ્રેર થરાવતા સભ્યોને તેમના ૨જીસ્ટર્ડ ઇ-મેઇલ સરનામાંઓ પર લાગ્ કાયદા અનુસાર થોકલવામાં આવશે.
