The Company maintains systems of internal control designed to ensure that financial reporting is pertinent and reliable and assets are safeguarded.

1STATUTS CONSTITUTIFS, NATURE DES ACTIVITÉS 1- ET CONTINUITÉ DE L’EXPLOITATION

La Société, NQ Exploration inc. (« NQ ») ou la (« Société »), constituée en vertu de la Loi canadienne sur les sociétés par actions, et ayant son siège social au 370, rue des Magnolias, Laval, Québec H7A 0A3, est une société d’exploration dont les activités se situent au Canada. Son titre est transigé à la Bourse de croissance TSX sous le symbole NQE. La Société n’a pas encore déterminé si les actifs d’exploration et d’évaluation renferment des réserves de minerai pouvant être exploitées économiquement. L’exploration et la mise en valeur de gisements de minéraux impliquent d’importants risques financiers. Le succès de la Société dépendra d’un certain nombre de facteurs, entre autres, les risques liés à l’exploration et à l’extraction, les questions relatives à la réglementation ainsi que les règlements en matière d’environnement et autres règlements.

Pour la période de trois mois terminée le 28 février 2015, la Société a enregistré une perte globale de 61 790 $ (71 482 $ en 2014). De plus, elle enregistre des pertes importantes année après année. La Société étant au stade de l’exploration, elle n’a pas de revenu provenant de son exploitation. Conséquemment, la direction cherche périodiquement à obtenir du financement sous forme d’émission d’actions, d’exercice de bons de souscription et d’options d’achat d’actions afin de poursuivre ses activités et malgré le fait qu’elle ait réussi dans le passé, il n’y a aucune garantie de réussite pour l’avenir. Présentement, la direction de la Société est à négocier les conditions et les termes d’un financement. Si la direction ne parvenait pas à obtenir de nouveaux fonds, la Société pourrait alors être dans l’incapacité de poursuivre ses activités, et les montants réalisés à titre d’actifs pourraient être moins élevés que les montants inscrits dans les présents états financiers.

Bien que la direction ait pris des mesures pour vérifier le droit de propriété concernant les actifs d’exploration et d’évaluation dans lesquels la Société détient une participation, conformément aux normes de l’industrie visant la phase courante d’exploration de ces propriétés, ces procédures ne garantissent pas le titre de propriété à la Société. Le titre de propriété peut être assujetti à des accords antérieurs non reconnus et ne pas être conforme aux exigences en matière de réglementation.

Les états financiers intermédiaires résumés non audités ci-joints ont été établis selon l’hypothèse de la continuité de l’exploitation, où les actifs sont réalisés et les passifs acquittés dans le cours normal des activités et ne tiennent pas compte des ajustements qui devraient être effectués à la valeur comptable des actifs et des passifs, aux montants présentés au titre des produits et des charges et au classement des postes du bilan si l’hypothèse de la continuité de l’exploitation n’était pas fondée. Ces ajustements pourraient être importants.

STATUTE OF INCORPORATION, NATURE OF ACTIVITIES AND GOING CONCERN

The Company, NQ Exploration Inc. (“NQ”) or the (“Company”), incorporated under the Business Canadian Corporations Act, and having its head office on 370, des Magnolias Street, Laval, Quebec, H7A 0A3, is an exploration company operating in Canada. The shares of NQ are listed on the TSX Venture Exchange under the symbol NQE.

The Company has not yet determined whether the exploration and evaluation assets have economically recoverable ore reserves. The exploration and development of mineral deposits involves significant financial risks. The success of the Company will be influenced by a number of factors, including exploration and extraction risks, regulatory issues, environmental regulations and other regulations.

For the three-month period ended February 28, 2015, the Company recorded a comprehensive loss of $ 61,790 ($ 71,482 in 2014). In addition, it recorded significant losses year after year. The Company is still in exploration stage and, as such, no revenue has been yet generated from its operating activities. Consequently, management periodically seeks additional forms of financing through the issuance of shares and the exercise of warrants and share purchase options to continue its operations, and despite of the obtention in the past, there is no guarantee of success for the future. Currently, the management of the Company is negotiating the terms and conditions of a financing. If management is unable to obtain new funding, the Company may be unable to continue its operation, and amounts realized for assets may be less than amounts reflected in these financial statements.

Although management has taken steps to verify titles of the exploration and evaluation assets in which the Company holds an interest, in accordance with industry standards for the current stage of exploration of such properties, these procedures do not guarantee the Company’s property title. Property title may be subject to unregistered prior agreements and non-compliant with regulatory requirements.

The accompanying unaudited condensed interim financial statements have been prepared on a going concern basis, which contemplates the realization of assets and liquidation of liabilities during the normal course of operations and do not reflect the adjustments to the carrying values of assets and liabilities, the reported revenues and expenses and balance sheet classifications that would be necessary if the going concern assumption would not be appropriate. These adjustments could be material.

2MODE DE PRÉSENTATION ET DÉCLARATION DE CONFORMITÉ

Les présents états financiers intermédiaires résumés non audités ont été préparés par la direction de la Société conformément aux Normes internationales d’information financière (« IFRS »), telles que publiées par l’International Accounting Standards Board (« IASB ») et conformément à IAS 34 « Information financière intermédiaire ».

Les états financiers résumés intermédiaires ne comportent pas toutes les informations et notes requises aux fins des états financiers annuels audités. Les méthodes comptables utilisées sont les mêmes que celles employées aux fins des états financiers audités pour l’exercice terminé du 30 novembre 2014, préparés conformément aux IFRS, telles qu’elles sont publiées par l’IASB. Par conséquent, ces états financiers résumés intermédiaires non audités et les notes y afférents devraient être lus en parallèle avec les états financiers audités pour l’exercice terminé le 30 novembre 2014. 3IFRS NOUVELLES ET RÉVISÉES, PUBLIÉES MAIS NON ENCORE ENTRÉES EN VIGUEUR

Modifications d’IAS 32, Compensation d’actifs financiers et de passifs financiers et informations à fournir connexes

Les modifications d’IAS 32 s’appliquent aux exercices ouverts à compter du 1er janvier 2014. Elles précisent que la Société a un droit juridiquement exécutoire de compenser si ce droit n’est pas subordonné à un événement futur et s’il est exécutoire tant dans le cours normal des affaires qu’en cas de défaut, d’insolvabilité ou de faillite de la Société ou de toute contrepartie. La Société n’a pas encore déterminé l’incidence de l’adoption de cette norme sur ses états financiers.

IFRIC 21, Droits ou taxes

IFRIC 21 fournit des indications sur la comptabilisation des prélèvements conformément aux exigences de la norme IAS 37, Provisions, passifs éventuels et actifs éventuels. L’interprétation définit un prélèvement comme une sortie de fonds d’une entité imposée par un gouvernement conformément à la législation en vigueur. On note également que les prélèvements ne résultent pas de contrats de l’exécuteur ni d’autres arrangements contractuels. L’interprétation confirme aussi que l’entité comptabilise un passif pour un prélèvement uniquement lorsque l’événement déclencheur spécifié dans la législation se produit. Cette norme s’applique aux exercices ouverts à compter du 1er janvier 2014. La Société n’a pas encore déterminé l’incidence de l’adoption de cette norme sur ses états financiers.

2BASIS OF PRESENTATION AND COMPLIANCE DECLARATION

These unaudited interim condensed financial statements were prepared by management in accordance with the International Financial Reporting Standard (“IFRS”), as issued by the International Accounting Standards Board (“IASB”) and in accordance with IAS 34, Interim Financial Reporting .

The condensed interim financial statements do not include all the information and notes required for the purpose of audited annual financial statements. The accountings methods used are the same that those used for the purpose of audited annual financial statements for the year ended November 30, 2014, prepared in accordance with the IFRS as they are published by the IASB. Consequently, these unaudited condensed interim financial statements and the notes thereto should be read in conjunction with the audited annual financial statements for the year ended November 30, 2014.

3NEW AND REVISED IFRS IN ISSUE BUT NOT YET EFFECTIVE

Amendments to IAS 32 Offsetting Financial Assets and Financial Liabilities and the related disclosures

The amendments to IAS 32 are effective for annual periods beginning on or after January 1st , 2014. They clarify that an entity currently has a legally enforceable right to set off if that right is not contingent on a future event, and enforceable both in a normal course of business and in the event of default, insolvency or bankruptcy of the Company and all counterparties. The Company has not yet assessed the impact of this new standard on its financial statements.

IFRIC 21, Levies

IFRIC 21 provides guidance on accounting for levies in accordance with the requirements of IAS 37, Provisions, Contingent Liabilities and Contingent Assets. The interpretation defines a levy as an outflow from an entity imposed by a government in accordance with legislation. It also notes that levies do not arise from executor contracts or other contractual arrangements. The interpretation also confirms that an entity recognizes a liability for a levy only when the triggering event specified in the legislation occurs. IFRIC 21 is effective for annual reporting periods beginning on or after January 1st , 2014. The Company has not yet assessed the impact of this new standard on its financial statements.

IFRS 9, Instruments financiers

IFRS 9 Financial Instruments

En juillet 2014, l’IASB a publié IFRS 9 laquelle remplace IAS 39 Instruments financiers: comptabilisation et évaluation. IFRS 9 introduit des améliorations comprenant un modèle plus logique de classification et d’évaluation des actifs financiers, un modèle unique de dépréciation plus prospectif, fondé sur les pertes de crédit attendues et un modèle de comptabilité de couverture substantiellement modifié. Cette norme s’applique aux exercices ouverts à compter du 1er janvier 2018, l’adoption anticipée étant permise. La Société n’a pas encore déterminé l’incidence de l’adoption de cette norme sur ses états financiers.

In July 2014, the IASB published IFRS 9 which replaces IAS 39 Financial Instruments: Recognition and Measurement. IFRS 9 introduces improvements which include a logical model for classification and measurement of financial assets, a single, forward-looking “expected loss” impairment model and a substantially-reformed approach to hedge accounting. IFRS 9 is effective for annual reporting periods beginning on or after January 1st , 2018. Earlier application is permitted. The Company has not yet assessed the impact of this new standard on its financial statements.

Amended version (2011) of IAS 28 now entitled « Investments in Associates and Joint Ventures » supersedes the current IAS 28 « Interests in Joint Ventures ». IAS 28 is amended to conform with changes adopted based on the issuance of IFRS 10, IFRS 11 and IFRS 12.

La version amendée (2011) d’IAS 28 dorénavant intitulée « Participation dans des entreprises associées et coentreprises » remplace IAS 28 actuelle « Participation dans des entreprises associées ». IAS 28 est modifiée pour être conforme aux modifications apportées suite à la publication d’IFRS 10, IFRS 11 et IFRS 12.

4PRINCIPALES ESTIMATIONS COMPTABLES, 4- HYPOTHÈSES ET JUGEMENTS

MAIN ACCOUNTING ESTIMATES, ASSUMPTIONS AND JUDGMENTS

Pour préparer des états financiers résumés intermédiaires, la direction de la Société doit faire des estimations et poser des hypothèses qui touchent l’application des méthodes et les montants présentés des actifs et des passifs ainsi que des produits et des charges. Les estimations et les hypothèses connexes sont fondées sur des données empiriques et divers autres facteurs qui sont estimés raisonnables dans les circonstances, et dont les résultats constituent la base des jugements portés sur les valeurs comptables des actifs et des passifs qui ne sont pas facilement évidents à partir d’autres sources. Les résultats réels pourraient différer de ces estimations. Les principales estimations comptables, hypothèses et jugements sont les mêmes que ceux des plus récents états financiers annuels.

To prepare condensed interim financial statements, the management of the Corporation has to make estimates and make hypothesis pertaining to the application of the methods and the amounts presented in the assets and liabilities as well as in the revenue and expenses. The estimates and the related hypothesis are based on empirical evidence and other different factors that are believed reasonable under the circumstances and for which results constitute the basis of judgments made on the accounting values of the assets and liabilities that are not easily obvious from other sources. The real results could differ from these estimates. The main accounting estimates, assumptions and judgments are the same as those in the most recent annual financial statements.

Propriété Gand 1 : Au

La propriété Gand 1 est située sur le territoire de la Baie-James à environ 25 km au nord-est du village de Desmaraisville dans le district minier de Chibougamau. Elle est constituée de 47 titres miniers contigus, dans les cantons Gand et Lespérance, qui couvrent une superficie totale de 17,41 km2 . Elle appartient à 100 % à la Société et elle est sujette à une redevance de 2 % sur les produits nets de fonderie.

Au cours des exercices terminés les 30 novembre 2014 et 2013, cette propriété ainsi que les frais d’exploration et d’évaluation ont été dépréciés, basée sur la décision de concentrer ses énergies et ses capitaux sur ses propriétés les plus prometteuses. La Société prévoit cependant conserver tous les droits.

Propriété Opawica : Au

La propriété est située à 20 km à l’est du village de Desmaraisville dans le district minier de Chibougamau. Elle est constituée de 14 titres miniers contigus, dans les cantons Gand et Lespérance, qui couvrent une superficie totale de 4,98 km2 . Elle appartient à 100 % à la Société et elle est sujette à une redevance de 1 % sur les produits nets de fonderie.

La propriété Carheil appartient à 100 % à la Société et regroupe 108 cellules contiguës qui couvrent une superficie approximative de 50,40 km2 . La propriété n'est assujettie à aucune redevance.

Propriété Brouillan : Au, Cu, Zn, Ag

La propriété Brouillan est contigüe à la propriété Carheil sur sa frontière Nord. Elle est constituée de 15 claims d’une superficie d’environ 8,34 km2 . Elle appartient à 100 % à la Société et elle est sujette à une redevance de 2 % sur les produits nets de fonderie dont 1 % peut être racheté pour la somme de 1 000 000 $.

Elle est constituée de 45 titres miniers qui couvrent une superficie totale de 23,01 km2 . La Société détient 50 % d’intérêt dans la propriété en partenariat avec Soquem inc. Cette entente inclut les neuf claims de la propriété Dalime, contiguë à La Roncière. La propriété est sujette à une redevance de 2,5 % sur les produits nets de fonderie.

The La Roncière property is located some 120 km to the south-west of the town of Chibougamau, in Gand and La Roncière townships. It consists of 45 mining claims covering an area of 23.01 km2 . The Company owns 50% interest in the property with Soquem Inc. This agreement includes nine additional claims, contiguous to La Roncière and called the Dalime property. a) En décembre 2011, la Société avait émis une débenture convertible non garantie de 200 000 $, portant intérêt à un taux annuel de 12 %. Le capital de cette débenture était convertible, au gré du détenteur, en actions ordinaires de la Société à un prix de 0,10 $ chacune. A son échéance, le 29 juin 2013, cette débenture fut échangée par l’émission d’une nouvelle débenture d’un montant de 200 000 $ qui était remboursable le 29 décembre 2014. À la date de son émission, la composante dette de cette débenture s’élève à 169 043 $, représentant la valeur actualisée des paiements d’intérêt et du remboursement de capital jusqu’au 29 décembre 2014. La différence entre la valeur nominale de la débenture et la composante dette s’élève à 30 957 $ et représente l’option de conversion et ce montant a été comptabilisé, à ce moment, aux capitaux propres de la Société. La composante dette sera augmentée à sa valeur nominale de 200 000 $ sur la durée de cet instrument financier, afin de refléter, à des fins comptables, un taux d’intérêt annuel effectif de 25 % représentant l’estimation d’un taux d’intérêt d’instruments similaires de dette qui ne comportent pas de composantes capitaux propres. a) In December 2011, the Company issued a convertible unsecured debenture of $ 200,000, bearing interest at an annual rate of 12%. The principal of the debenture was convertible, at the option of the holder, into common shares of the Company at a price of $ 0.10 each. At maturity, as at June 29, 2013, it was exchanged by the issuance of a new debenture amounting to $ 200,000, was repayable on December 29, 2014. At the date of issuance, the debt component of that debenture amounted to $ 169,043, representing the present value of interest and principal repayment until December 29, 2014. The difference between the nominal value and the debt component amounted to $ 30,957 and represents the conversion option, which was recorded at that time in the equity of the Company. Over the term of the convertible debenture, the debt component will be increased to its nominal value of $ 200,000 to provide, for accounting purposes, an actual interest expense equal to 25%, representing the estimated interest rate of similar debt instruments which do not have such an equity component. The debt component is amounting to $ 200,000 on February 28, 2015.

9OPTIONS D’ACHAT D’ACTIONS ET BONS DE SOUSCRIPTION

Les actionnaires de la Société ont approuvé un régime d’options d’achat d’actions (le « régime ») selon lequel les membres du conseil d’administration peuvent attribuer des options d’achat d’actions permettant à ses administrateurs, dirigeants, employés et fournisseurs d’acquérir des actions ordinaires de la Société. Les conditions et le prix d’exercice de chaque option d’achat d’actions sont déterminés par les membres du conseil d’administration.

Les options seront acquises dès leur octroi. Par contre, les options octroyées à des responsables des relations avec les investisseurs sont acquises graduellement à raison de 25 % par trimestre.

Le régime stipule que le nombre maximum d’actions ordinaires dans le capital de la Société qui pourrait être réservé pour attribution en vertu du régime est égal à 6 486 706 actions de la Société. Le nombre maximal d’actions ordinaires réservées à l’attribution des options d’achat d’actions à un seul détenteur ne peut dépasser 5 % des actions ordinaires en circulation à la date d’attribution et ne peut excéder 2 % des actions ordinaires en circulation dans le cas des consultants et des personnes qui fournissent des services de relation avec les investisseurs. Les options d’achat d’actions expireront au plus tard cinq ans après avoir été octroyées. Toute option d’achat d’actions est réglable en actions conformément aux politiques de la Société.

9- SHARE PURCHASE OPTIONS AND WARRANTS

The shareholders of the Company approved a stock option plan (the “plan”) whereby the Board of Directors may grant to employees, officers, directors and suppliers of the Company, share purchase options to acquire common shares in such numbers, for such terms and at such exercise prices as may be determined by the Board of Directors.

The share purchase options will be acquired immediately. However, the acquisition conditions for options granted to investor relation representatives are 25% per quarter.

The plan provides that the maximum number of common shares in the capital of the Company that may be reserved for issuance under the plan shall be equal to 6,486,706 common shares and that the maximum number of common shares which may be reserved for issuance to any optionee may not exceed 5% of the outstanding common shares at the time of vest and may not exceed 2% of the outstanding common shares for consultants and investor relation representatives. These options will expire no later than five years after being granted. Any share purchase option is payable in shares in accordance with Company policies.

10PASSIFS ÉVENTUELS

a) Les opérations de la Société sont régies par des lois gouvernementales concernant la protection de l’environnement. Les conséquences environnementales sont difficilement identifiables, que ce soit au niveau de la résultante, de son échéance ou de son impact. Présentement, au meilleur de la connaissance de ses dirigeants, la Société opère en conformité avec les lois et les règlements en vigueur. Tout paiement qui pourrait résulter de la restauration de sites serait comptabilisé aux résultats de l’exercice au cours duquel il sera possible d’en faire une estimation raisonnable.

b) La Société se finance en partie par l’émission d’actions accréditives, cependant il n’y a pas de garantie que les fonds dépensés par la Société seront admissibles comme frais d’exploration canadiens, même si la Société s’est engagée à prendre toutes les mesures nécessaires à cet effet. Le refus de certaines dépenses par les autorités fiscales pourrait avoir des conséquences fiscales négatives pour les investisseurs.

ENGAGEMENTS

  • a) En janvier 2009, la Société a signé un contrat d’emploi avec son président. Ce contrat est d’une durée indéterminée et la Société s’est engagée à lui verser un salaire annuel de 60 000 $.

  • b) En janvier 2011, la Société a signé un bail venant à échéance en février 2016 et renouvelable annuellement. Les loyers prévus au cours des prochains exercices s’élèvent à : 15 600 $ en 2015 et 3 900 $ en 2016.

10- CONTINGENT LIABILITIES

  • a) The Company’s operations are governed by governmental laws and regulations regarding environmental protection. Environmental consequences are difficult to identify, in terms of level, impact or deadline. At the present time and to the best knowledge of its management, the Company is in conformity with the laws and regulations. Restoration costs will be accrued in the financial statements only when they will be reasonably estimated and will be charged to the earnings at that time.

  • b) The Company is partly financed by the issuance of flowthrough shares. However, there is no guarantee that the funds spent by the Company will qualify as Canadian exploration expenses, even if the Company has committed to take all the necessary measures for this purpose. Refusals of certain expenses by tax authorities may have negative tax consequences for investors.

11COMMITMENTS

  • a) In January 2009, the Company signed an employment contract with its president. This contract is for an undetermined term and the Company has undertaken to pay him an annual salary of $ 60,000.

  • b) In January 2011, the Company signed a lease contract that expires in February 2016 and renewable annually. During the next years, the payments are amounting to: $ 15,600 in 2015 and $ 3,900 in 2016.

  • c) In February 2015, the Company signed an agreement with a company controlled by the Chief Financial Officer. The agreement expires on January 31, 2016 and provides for fees totaling $ 24,000.

d) En septembre 2014, la Société a signé un contrat d’option et coentreprise avec SOQUEM inc. afin d’acquérir un intérêt de 50 % dans la propriété Wagosic. Selon les termes du contrat, la Société devra investir un total de 2 000 000 $ en travaux d’exploration sur la propriété sur trois ans, soit 500 000 $ au 31 mars 2015, 500 000 $ au 31 mars 2016 et 1 000 000 $ au 31 mars 2017. Il n’y a aucune redevance rattachée à la propriété. Pour la durée de l’option, SOQUEM inc. sera le gestionnaire du projet et aura droit à une allocation de 10 % des investissements et de 5 % des investissements pour des travaux effectués par un tiers.

d) In September, 2014, the Company signed an option and joint venture agreement with SOQUEM Inc. to acquire a 50% interest in the Wagosic property. According to the agreement, the Company will have to invest a total of $ 2,000,000 in exploration work on the property over three years, as follows: $ 500,000 on March 31, 2015, $500,000 on March 31, 2016 and $ 1,000,000 on March 31, 2017. There is no royalty on the property. During the option, SOQUEM Inc. is the project manager and will be entitled to an allowance of 10% of the investments and 5% of the investments for exploration work performed by a third party.

On March 23, 2015, considering that the Company will not be able to fulfill its obligation by March 31, 2015, the Company and SOQUEM Inc. modified the agreement. The company will have to pay to SOQUEM Inc. the amount of $ 3,018 presented in accounts payable and accrued liabilities. Furthermore, the first disbursement of $ 500,000 will have to be paid to SOQUEM Inc. by June 30, 2015 and SOQUEM Inc. will have to perform exploration works on the Wagosic property amounting to the same amount by March 31, 2016. iv) Risque de taux d’intérêt

Le risque de taux d’intérêt est le risque que la juste valeur des flux de trésorerie futurs d’un instrument financier fluctue en raison des variations des taux d’intérêt du marché. Les débentures portent intérêt à un taux fixe de 12 %. Par conséquent, en relation avec celles-ci, la Société est exposée à une variation de la juste valeur. Les autres actifs et passifs financiers de la Société ne sont pas exposés au risque de taux d’intérêt étant donné qu’ils ne portent pas intérêt. Par contre, l’encaisse s’élevant à 6 214 $ porte intérêt à 0,50 %. La Société n’utilise pas de dérivés financiers pour réduire son exposition au risque. La direction de la Société considère son risque de taux d’intérêt minime.

b) Risque de crédit

Le risque de crédit est le risque qu’une partie à un instrument financier manque à l’une de ses obligations et amène de ce fait l’autre partie à subir une perte financière. La trésorerie et équivalents de trésorerie sont les principaux instruments financiers de la Société qui sont potentiellement assujettis au risque de crédit. Le risque de crédit sur la trésorerie et équivalents de trésorerie est limité puisque les parties contractantes sont des institutions financières ayant des cotes de crédit élevées attribuées par des agences de crédit internationales. Par conséquent, la Société ne s’attend pas à ce que les contreparties manquent à leurs obligations. La valeur comptable de la trésorerie et équivalents de trésorerie représente l’exposition maximale de la Société face au risque de crédit.

c) Risque de liquidité

Le risque de liquidités est le risque qu’une entité éprouve des difficultés à honorer des engagements liés à des passifs financiers. La gestion du risque de liquidité vise à maintenir un montant suffisant d’encaisse et à s’assurer que la Société dispose de sources de financement suffisantes. La Société établit des prévisions budgétaires afin de s’assurer qu’elle dispose des fonds nécessaires pour rencontrer ses obligations. Au 28 février 2015, les liquidités dont dispose la Société s’élèvent à 6 214 $ et son fonds de roulement est déficitaire à 402 216 $. Afin de pouvoir continuer ses opérations, la Société aura à trouver du financement supplémentaire et malgré le fait qu’elle ait réussi dans le passé, il n’y a aucune garantie de réussite pour l’avenir. Il subsiste actuellement un risque important que la Société soit dans l’incapacité à trouver du financement même si la direction est optimiste de pouvoir réaliser le financement nécessaire à l’exécution de son plan stratégique.

iii) Currency risk

The Company is not exposed to currency fluctuations as all transactions occur in Canadian dollars.

iv) Interest rate risk

Interest rate risk is the risk that the fair value of future cash flows of a financial instrument will fluctuate due to changes in market interest rates. Debentures bear interest at fixed rate of 12%. Accordingly, in relation with those items, there is an exposure to fair value variation. The other financial assets and liabilities of the Company are not exposed to interest rate risk because they don’t bear interest. Therefore, cash amounting to $ 6,214 bears interest at a rate of 0.50%. The Company does not use financial derivatives to reduce its exposure to risk. The management of the Company considers minimal its interest rate risk.

b) Credit risk

Credit risk is the risk that one party to a financial instrument fails to meet its obligation and causes the other party to incur a financial loss. Financial instruments which potentially expose the Company to credit risk mainly consist of cash and cash equivalents. The credit risk on cash and cash equivalents is limited because the counterparties are banks with high credit ratings assigned by international credit-rating agencies. Therefore, the Company does not expect any treasury counterparties to fail in respecting their obligations. The carrying value of cash and cash equivalents represents the Company’s maximum exposure to credit risk.

c) Liquidity risk

Liquidity risk is the risk that the Company will not be able to meet the obligations associated with its financial liabilities. Liquidity risk management serves to maintain a sufficient amount of cash and to ensure that the Company has sufficient financing sources. The Company establishes budgets to ensure it has the necessary funds to fulfill its obligations. As at February 28, 2015, the Company’s liquidities are amounting to $ 6,214 and its working capital is negative of $ 402,216. In order to continue its operation, the Company will have to find additional fund and despite the fact it has been successful in the past, there is no guarantee for the future. Actually, there remains a significant risk that the Company is unable to find cash even the management is optimistic to find the necessary cash for the implementation of its stategic plan.

15POLITIQUES ET PROCÉDURES DE GESTION DU CAPITAL

Au 28 février 2015, le capital de la Société est constitué des capitaux propres qui se chiffrent à 2 795 376 $. L’objectif de gestion du capital de la Société est de s’assurer qu’elle dispose d’un capital suffisant pour rencontrer ses obligations d’exploration et ainsi assurer la croissance de ses activités. Elle a également pour objectif de s’assurer qu’elle dispose de suffisamment de liquidités pour financer ses frais d’exploration et d’évaluation, ses activités d’investissement et ses besoins en fonds de roulement. Il n’y a pas eu de changement significatif concernant l’approche de politique de gestion du capital au cours de la période terminée le 28 février 2015.

La Société est soumise à des exigences réglementaires relativement à l’utilisation de fonds levés par financement accréditif, ceux-ci devant obligatoirement être dépensés en frais d’exploration admissibles. Au cours de la période, la Société a respecté ses exigences réglementaires. La Société n’a pas de politique de dividendes.

16ÉVÈNEMENT SUBSÉQUENT

Le 9 avril 2015, la Société a conclu une entente finale avec la société d’assurance du locateur du bien loué et volé au cours de l’exercice terminé le 30 novembre 2011. La Société versera un montant total de 13 000 $ en capital, intérêts et frais en quatre versements mensuels de 3 250 $ débutant le 15 mai 2015.

15POLICIES AND PROCESSES FOR MANAGING CAPITAL

As at February 28, 2015, the capital of the Company consists of equity amounting to $ 2,795,376. The Company’s capital management objective is to have sufficient capital to be able to meet its exploration and mining development plan in order to ensure the growth of its activities. It has also the objective to have sufficient cash to finance its exploration and evaluation expenses, the investing activities and the working capital requirements. There were no significant changes in the Company’s approach to capital management during the period ended February 28, 2015.

Company is subject to regulatory requirements related to the use of funds obtained by flow-through shares financing. These funds have to be incurred for eligible exploration expenses. During the period, the Company has respected all of its regulatory requirements. The Company has no dividend policy.

16SUBSEQUENT EVENT

On April 9 2015, the Company entered into a final agreement with the insurance company of the landlord of the leased and stolen equipment during the year ended November 30, 2011. The Company will pay a total of $ 13,000 in capital, interest and fees in four monthly installments of $ 3,250 beginning on May 15, 2015.
